Adrian Danciu fields considerable expertise in mergers & acquisitions acting on complex cross-border transactions and advising on a full range of deal structures, from takeover tactics and flexible bid repositioning to corporate restructuring and divestitures, post-transaction support and integration planning. He also has a broad expertise in corporate governance, protection of minority shareholders, corporate liability matters, general corporate advice, special corporate vehicles, shareholding structures, share capital matters and corporate finance, along with underlying contractual aspects triggered by the specificity of the transaction.

Adrian is also an authorised consultant for the alternative trading system of the Bucharest Stock Exchange, AERO.

  • Assisting Premier Capital B.V. in acquiring 100% shareholding in the McDonald's franchise in Romania.
  • Advising Wellbore Integrity Solutions, in connection with a USD 400,000,000 worldwide transaction (in over 25 jurisdictions), involving Wellbore Integrity Solutions LLC, Rhône Capital, and Schlumberger, with respect to the latter’s business related to drilling, cables for pipeline works, equipment and accessories rentals and Recovery and Repair services for drilling, operations and abandonment in the oil services industry.
  • Advising Damen Shipyards in their acquisition of one of the most important shipyards in Mangalia, Romania (over €500 million transaction value), and in their negotiation and entry into a joint venture with the Romanian state for the operation of the shipyard.
  • Advising Penta Investments, a leading Central European investment group, in connection with the EUR 300 million acquisition of A&D Pharma, one of the biggest pharmacy chains/pharma distributors in CEE, owned by Penta.
  • Advising Spectrum Brands Unit, a $5 billion consumer products company, in connection with the $2 billion sale of its global battery and portable lightning business to Energizer Holding Inc., one of the world's largest manufacturers of primary batteries and portable lighting products.
