Vicente Lines' practice spans 20 years of experience in complex transactions, acquisitions, financings and adverse negotiations involving regulated industries, corporate law, minority shareholder rights, real estate and other complex legal matters involving private companies, the Costa Rican government and International multilateral finance institutions.

His experience in the area of ​​energy and infrastructure has involved the financing of fossil fuel power plants in Honduras, acting as regulatory advisor and part of the team involved in preparing the regulatory analysis of the acquisition of clean energy assets in Central America, advisor of the acquirer of the second private utility-scale photovoltaic generation facility, active member of the Costa Rican Solar Energy Association during the effort to pressure the government to approve regulations to encourage distributed generation, advisor on multiple transactions to acquire photovoltaic facilities wind power.

Vicente has also cultivated unique regional experience as a regulatory advisor to competitive operators, infrastructure developers and value-added services in the telecommunications sector. He has also worked with telecommunications infrastructure, services and equipment providers on market entry issues throughout Central America. Vicente has represented telecommunications service providers in various transactional environments, including structuring joint ventures with local private partners and incumbent government operators in Costa Rica. Mr. Lines has advised infrastructure and service providers on licenses before the Telecommunications Regulators of Costa Rica and Nicaragua.

In his career as a transactional lawyer, Vicente has worked with regional, US and European investors in the private sector, on mergers and acquisitions in industries as diverse as automotive retail, packaged foods, beverages, telecommunications and real estate development.

  • Vicente advised EnfraGen, a developer and owner of renewable energy infrastructure, in the financing for the acquisition in Costa Rica of their first wind power asset for US$ 1,060,000,000.00. In addition, EnfraGen acquired renewable operating assets in Panama and executed a refinancing of a 2020 facility, which also meant a restructure for the Costa Rican entities. The deal included the structuring of local financing documents, including the preservation of the existing trust structure created to secure the target’s bond issuance, the repayment of that bond issuance and repurposing of the trust for the new project financing. Several departments of the firm were involved, including the M&A department, and public law department, to review obligations under the existing PPA

  • Univar Solutions Inc. is a global chemical and ingredients distributor interested in acquiring regional Chemical company Chemsol. Chemsol's main companies are located in Panama and have affiliates in Costa Rica, El Salvador, Guatemala, and Honduras. Arias Costa Rica served as the key point of contact, coordinating due diligence efforts and streamlining the pre-closing stage for both parties throughout our Central American offices. Arias has assisted the buyer with identifying risks and coordinating corporate, labour, and tax matters essential to the transaction. Our team also advised the buyer with antitrust assessments. The deal consists of a share purchase of the entire company, including the affiliate target companies. Vicente Lines was part of the advising team in Costa Rica.
