Andrey is a Partner at the firm and focuses his practice in corporate and financial law. He is in charge of M&A and private equity in the Costa Rica office. He has participated in a significant number of mergers and acquisitions, for national and international clients.

He has experience in processes of due diligence and negotiation of contracts and joint ventures, and has also participated in the aspects of financing and refinancing of companies. Additionally, Andrey is responsible for the practice of competition law in Costa Rica. He has participated in numerous notifications of concentrations before the Commission to promote competition, and has much experience in consulting to companies on issues of commercial competition.

  • Arias Represented Telefónica, S.A. a mobile and fixed telecommunications provider in the sale of the Costa Rican subsidiary Telefónica de Costa Rica, TC, S.A. The amount of this transaction rises up to US$650 million approximately in Guatemala and El Salvador, US$1,650 million in Nicaragua, Costa Rica and Panama. Andrey was part of the team of partners leading advisors to the Spanish multinational telecommunications company Telefonica in the sale of their regional operations in Central America. The contract established that the new concessionaire had to meet all the requirements that the original owner had complied with in the past, which required an exceptionally advanced and technical due diligence process. The first offer did not comply with all the requirements, so the client searched for another buyer, and once again, the law firm was involved in the negotiations and legal advice for the sale of the Central American operations to Liberty Latin America. Andrey coordinated the transaction related to Costa Rica, including providing advice on the applicable legal and regulatory aspects required to make the sale, preparing the vendor’s due diligence, and giving support in the negotiation and drafting of the transaction documentation.
  • Pintuco, a manufacturer of paints and coating with operations in some South American countries and Costa Rica, was acquired by AkzoNobel, a Dutch multinational manufacturer of paints and performance coatings for both industry and consumers worldwide. This acquisition is part of their ‘Grow and Deliver’ strategy which aims to position the company in emerging markets.
  • Andrey advised the seller, Pintuco, on this very important transaction by providing the necessary documentation for the due diligence process and negotiating and revising the transaction agreements.
  • Andrey represented Vinci Concessions S.A.S. and Airports Worldwide Coöperatief U.A., in the indirect acquisition of the Costa Rican company Aeris Holding Costa Rica, S.A. licensor of Costa Rica´s main airport Juan Santamaría to CCR España Concesiones y Participaciones SLU.
  • Andrey and a acted as lead counsel for IMCD Group in the acquisition of 100% of the capital stock of Quelaris Internacional S.A., in all countries they operate.. This included coordinating all Due Diligence matters and negotiations with the Sellers, as well as coordinating with local counsel in Colombia, Perú, Chile, Dominican Republic, and Guatemala as part of the relevant jurisdictions and Honduras, Panamá, El Salvador and Ecuador as part of the out-group jurisdictions.
