Osayaba is a Senior Advocate of Nigeria and a Senior Partner of Giwa-Osagie & Co.

He is an experienced litigator and also a Corporate/Commercial lawyer with experience spanning over 33 years

He has over the years advised several clients, both local and international clients on legal issues arising from various commercial transactions. His experience spans across core areas such as oil & gas, construction, public and private partnerships, project finance, corporate finance, regulatory compliance, aviation, banking, mergers & acquisition etc.

He has been involved in transactions arising from Oil and Gas projects in Nigeria. He has written several opinions on compliance with the Nigerian Oil and Gas Industry Content Development Act 2010. He advised on the first Gas supply Contract in Nigeria between Nigerian Gas Company and West African Portland Cement Company Plc.  He was also instrumental in drafting the first version of the Petroleum Industry Bill.

Osayaba advises local and foreign clients on direct and portfolio investments in Nigeria. He also advises on other related matters such as project finance, mergers and acquisitions, corporate structures, corporate governance, and many others.

He has also been actively involved in the mining sector. He has advised on construction and mining projects in Nigeria, and reviewed commercial agreements for mining operations such as exploration agreements and joint venture agreements

He is widely known for his deep experience in the Nigerian capital markets and infrastructure.

He has also built a strong practice in aviation. For many years, he has represented foreign and domestic carriers in all legal matters arising from doing business in Nigeria, such as passenger and cargo claims, regulatory and finance transactions.

He has also been involved in high profile litigation and arbitration matters.

  • He is currently advising a Bank and an Insurance Company in Nigeria on the recapitalization of their shares.
  • He was appointed as a transaction Counsel to the Government of the United States of America and the United States Consulate in Nigeria in a real estate transaction. 
  • He was appointed as a Legal Consultant to the American International School of Lagos (AISL), Nigeria on the sale of its multi-million dollars 14.57 hectares of prime serviced development property in Lagos.
  • He was appointed as a local Counsel to Joule Processing LLC in respect of Seplat Sapele Integrated Gas Plant Project.
  • He was appointed as a local Solicitor to Visa Inc. in its acquisition of equity in Interswitch in Nigeria.
