Lisa Esamah is a Managing Associate and a member of the firm’s capital markets, banking and finance, and corporate advisory teams. She has extensive experience in advising clients on various transactions; she has been involved in a wide range of complex transactions, including leveraged & acquisition finance, debt capital market, corporate restructuring commercial transactions, insolvency, equity capital markets, initial public offerings, private placement, private equity, and regulatory advisory services in the course of which she has worked with international and domestic investors.

  • We acted as solicitor to the listing in connection with the listing by introduction of 18,000,000,000 ordinary shares of N0.50 each, being the entire ordinary issued share capital of BUA Foods PLC in the consumer goods sector of the main board of the Nigerian exchange limited.
  • Advised as Nigerian legal counsel to Citigroup Global Markets Limited, the Sole Global Coordinator, in connection with the offering of approximately 2.28 billion ordinary shares of Guaranty Trust Holding Company PLC (GTCO) and the successful admission of those shares to trading on the Main Market of the London Stock Exchange (LSE).
  • Advised as acted as Nigerian counsel to Chapel Hill Denham Advisory Limited, Citigroup Global Markets Limited, Goldman Sachs International, J.P. Morgan Securities plc, and Standard Chartered Bank (the “Joint Bookrunners”) in connection with the US$700,000,000.00 and the US$1,500,000,000.00 Notes Issuance (the “Notes”) by the Federal Republic of Nigeria under its Global Medium Term Note Programme. The Notes were placed in the 2031 and 2034 maturities, respectively.
  • Advised as Nigerian Counsel to Seplat Energy PLC on the issuance of its US$650 million 9.125% Senior Notes due 2030 under Rule 144A/Reg S of the United States Securities Act, guaranteed by Seplat West Limited, Seplat Energy Producing Nigeria Unlimited, Seplat East Onshore Limited and Seplat Midstream Company Limited.
  • Advised United Capital Asset Management Limited on the establishment of its NGN 1 billion Children Investment Fund, a specialised investment vehicle aimed at enabling long-term wealth accumulation for the purpose of financing children education.
