CERHA HEMPEL

CERHA HEMPEL Dezsö & Partners is the Hungarian arm of leading Austrian firm CERHA HEMPEL. The Budapest branch, which dates back to the 1990s, has a team of around 30 legal professionals and is part of a network of offices that also encompasses branches in Austria, Belarus, Bulgaria, Czech Republic, Romania and the Slovak Republic.

Highlights  

CERHA HEMPEL Hungary advised Duna Aszfalt Zrt., a Hungarian road and infrastructure construction company, on their purchase of the 100% shareholding of MOTA-ENGIL Central Europe S.A from the Portuguese company Mota-Engil Central Europe Management SGPS S.A. The team represented the client in negotiations, coordinated the local legal teaand other advisors, liaised with sell-side counsel, and assisted in the preparation of transaction documents. The transaction closed in September 2024.  

The firm also provided legal and public procurement consultancy services regarding the construction and long-term service of a CCGT power plant at MVM Mátra Energia Zrt. The team supported the client through contractual negotiations and liaising with the consortium partner. The firm acted as lead counsel and was led by Dr. Sándor Szterényi. The project is currently ongoing.

Highlights  

Lakatos Köves & Partners advised AASET 2024-1 and AASET 2024-2 on the issuance of Secured Notes used for the purchase of a portfolio of a high number of aircraft. The team acted as joint transaction local counsel for the sale of certain aircraft and the local law aspects of the financing. This included local regulatory and transactional advice to investorregarding the registering, selling, leasing, and financing of aircraft on lease to Hungarian-based airlines and aircraft registered in Hungary. The transaction closed in November 2024.  

The firm also advised Vodafone plc on the sale of Vodafone Magyarország Zrt. to 4iG Nyrt. and Corvinus Zrt., a Hungarian state holding company. Their role included full scope legal assistance to Vodafone as seller in the sale process, including the preparation of the company for the due diligence and slae process, assistance in different regulatory matters, and the drafting of transactional documents.
