Jurisdiction overview

The upper echelon of Austria’s legal market is dominated by the country’s larger domestic firms - Binder Grösswang, CHSH Cerha Hempel Spiegelfeld Hlawati, Dorda Brugger Jordis, Schoenherr and Wolf Theiss - with one exception in the form of Freshfields Bruckhaus Deringer.

A clear distinction can be drawn between the stronger domestic firms on the market: those that have expanded internationally into CEE (Central Eastern Europe) and, in some cases, the CIS (Commonwealth of Independent States), and those that opted against this strategy. CHSH, Schoenherr and Wolf Theiss are the most notable proponents of an international model; Binder and Dorda fall into the latter category. 

Looking at it from an Austrian context, there was a good rationale behind developing an international network. After the collapse of communism, Austrian businesses – most notably the larger banks and energy companies - expanded aggressively into CEE and, until the financial crisis, markets in the region were hugely profitable. 

However, there are benefits to the local model too. Purely domestic Austrian firms can offer clients the greater flexibility of choosing which firms they work with in other jurisdictions. Firms can pick the best firm for any given mandate, or simply work with the leading local firm in a jurisdiction, if the circumstances are right.  

Aside from Freshfields, only a few international firms have a presence in Austria, with most choosing to service their clients in the country from Germany. In terms of the size and calibre of their Austrian offerings, CMS and Baker & McKenzie also have significant practices. 

Spin-offs from local and international firms in Austria are not uncommon in Vienna. Some lawyers are frustrated by the limited options for partnership; in other cases there are frictions about the direction or remuneration policy of firms. There are a number of recent examples of this trend. Schindler and Partners was formed by partners from Wolf Theiss and Schoenherr; the Vienna branch of Eisenberger & Herzog was established by lawyers from Freshfields in Vienna; and, Benn Ibler is a boutique established by a team from DLA Piper.

Financial and corporate
Binder Grösswang

Austrian domestic firm Binder Grosswang has strong financial and corporate practices in all areas covered by the ranking tables. 

Banking (lending and financing, and regulatory work) is the firm’s most established practice in the context of rankings. The firm’s M&A team has consistently had a share of the roles on Austria’s high-end deals in recent years. Within these practice areas the firm has notable experience in advising on regulation to banks, representing lenders on project finance deals, and in advising private equity sponsors on primary and secondary transactions. 

In the banking and finance area the firm has been involved in acquisition and project financing deals (both new money and refinancing transactions) on the side of the lenders, and some notable borrower side corporate lending. 

In capital markets the firm has been active, advising on a number of capital increases, including several deals for regional lenders, and bond issuances (standalone and programmes).

The current research period saw the M&A team again secure a number large mandates, with high value private equity deals and strategic M&A transactions in the financial services sector. A few highlights were representing Constantia Flexibles on the sale of its labels division to Multi-Color, and acting for Pioneer Investments when it divested of its Austrian business to Amundi. 

In the projects area the firm is working for sponsors on renewable energy and conventional energy infrastructure developments.

bpv Hügel

bpv Hügel – the Austrian arm of the CEE  firm network, bpv – has a strong corporate practice.  In the research period notable publishable deals included advising Airlines Group and Vueling Airlines on the take-over of NIKI Luftfahrt, and work for Joyson on its acquisition of M&R. Other, confidential highlights include significant cross border deal in the construction / building materials, automotive and banking sectors.

During the research period the firm’s name partner, and a highly respected corporate lawyer, Hanns Hügel, died. 

Key clients of the firm include Immofinanz, Buwog, Bawag, OMV, Verbund, and Erste Group Bank.

 

CHSH Cerha Hempel Spiegelfeld Hlawati

CHSH Cerha Hempel Spiegelfeld Hlawati, a large Austrian with a network of offices in Eastern Europe, has strong practices in all ranking categories and is among the market leaders for corporate transactional advice, strategic M&A and equity capital markets, in particular. 

Recent banking highlights for the firm tended to be refinancings, real estate financings or regulatory advice, with a mix of borrower and lender work. The matters included several mandates for Erste Group.  

In the capital markets space the firm’s notable work has been mostly concentrated around the debt markets. The transactions were mix of equity linked and standard bond issues for issuers, the majority of which were real estate businesses. The firm’s clients included CA Immobilien and S Immo. An equity highlight was an issuer side role for Buwog on a capital increase. 

The firm’s M&A team advised on a number is large cross-border deals, several of which were public transactions, in the research period. Most notably it represented OMV on the sale of its Turkish subsidiary, OMV Petrol Ofisi, and acted for RHI on its takeover of Brazilian Magnesita Refratário.

OMV and Telekom Austria are two longstanding clients of the firm.

CMS Reich-Rohrwig Hainz

CMS Reich-Rohrwig Hainz, the Austrian arm of the CMS network, has one of the most experienced public procurement practices in the country for large scale infrastructure development. The M&A practice is another od the firm’s practices visible on high-end work. 

In the banking area the firm’s recent notable work included a number of large acquisition financings and syndicated loans with the firm acting for the lenders on the majority of the deals. Among the highlights were roles on financings for Novomatic and Constantia Flexibles. 

The firm’s recent capital markets work has been varied and included several interesting deals. The firm has been representing the Vienna Stock Exchange (VSE) on restructuring its third market segment and advised the bookrunners on what was first listing of convertible bonds by a South Korean issuer on the VSE.

In M&A the firm’s highlights feature a number of multi-national deals where the Vienna branch handled the Austrian elements, and other smaller but still large in-bound and more local cross-border deals. For example the firm acted or Towerbrook when it bought Schweighofer Fiber and represented Socar on the purchase of a portfolio petrol stations in Switzerland. 

In the projects area the firm is working on various developments, representing a mix of private sector developers and the public sector, including on renewable power plants in Russia, a by-pass in Bratislava, and a fibre-optic network in Austria. 

UniCredit, Porr, and Strabag are among the firm’s key clients.

Dorda

Dorda covers, and is strong in, all areas of financial and corporate work covered by the rankings. The firm is known as one of those more experienced in Austria for equity capital markets, public M&A, and complex finance transactions. 

In the banking and finance area the firm’s recent notable work included a number of large corporate financings on the side of the borrower, acting as local counsel. The firm has also provided financial restructuring advice to creditors on several large insolvencies. 

The firm’s capital markets highlights were a mix of debt and equity work. Notably it was involved in two IPOs, those of Bawag and Varta, with issuer side roles on both deals. Other significant work included several hybrid bond issues where the firm acted for the bookrunners.

In M&A the firm has been active on public and private cross-border deals in various sectors. A few highlights were representing Sazka in purchasing a larger stake in Casino Austria and acting for a shareholder in ZKW when the company was bought by LG.

Fellner Wratzeld & Partner is one of the top firms in the country for insolvency related work. The firm’s expertise in this area extends to transactional advice – restructuring (both corporate and financial) and M&A. The firm is the preferred advisor of a number of Austrian lenders for distressed work. Another area of expertise for the firm is environmental law, and issues relating to environmental impact assessments, for infrastructure projects in particular.

Schoenherr

A large Austrian firm with an international presence Schoenherr has strong financial, corporate and project development practices. The firm’s M&A team is generally involved in all the markets high-end transactions and the firm has an experienced banking and finance group. In the projects area, the firm is known for expertise in public and energy law.

In the banking and finance the firm was involved in several high profile restructurings – where it provided finance advice – and advised lenders on large acquisition financings and syndicated loans. 

The capital markets group has been involved in broad variety of work. The highlights were concentrated in the debt side of the markets and included representing Citi on first Austrian credit tenant linked notes issuance, several securitisations, a covered bond issue, and refinancing by way of bond issues, including high-yield. 

The firm’s corporate team had another busy period, topping some league tables for value and volume for Austrian deals closed in 2017. A number of the firm’s significant deals were in the banking and financial services sector, including RBI and Raiffeisen Zentralbank Österreich’s merger. Real estate was another busy sector for the practice and it advised on a number of large public M&A deals. Buwog’s and CA Immmo’s takeover were two examples of this.
