Founded in 1861, Dentons Rodyk & Davidson is the oldest law firm in Singapore. Recent examples of the firm’s deal work include advising HSBC Institutional Trust Services (Singapore) in relation to the issue of sustainability-linked guaranteed bonds. The bonds are unconditionally and irrevocably guaranteed by the Credit Guarantee and Investment Facility (CGIF), a trust fund of the Asian Development Bank. The bonds are the first SGD-denominated CGIF-guaranteed sustainability linked bonds in Asia, the first listed CGIF-guaranteed bonds aligned to the ASEAN Sustainability-Linked Bonds Standards, and the first CGIF-guaranteed bonds issued by an industrial REIT in Asia. The bonds are also the issuer’s first non-sukuk bond offering.
The firm also acted as lead counsel to Nasdaq-listed Stagwell in its strategic acquisition of ADK Global, a premier Japan-based advertising and marketing group with operations across 10 jurisdictions. This landmark transaction is Stagwell’s inaugural acquisition in the Asia-Pacific region and required sophisticated legal structuring to navigate multi-jurisdictional challenges, including foreign ownership restrictions, merger control filings, and capital repatriation requirements.
