We have advised and represented clients on several of the most significant transactions in the Nigerian energy and infrastructure sector. We have considerable expertise in renewable and traditional energy generation and distribution, upstream and downstream oil and gas sector work, social infrastructure development, transport, telecommunications and media sectors.

Recent matters advised on

Contracts: Involved in drafting, reviewing and negotiating energy contracts including Power Purchase Agreements, Gas Supply and Purchase Agreements, Engineering, Procurement and Construction Agreements, Technical Service Agreements, Direct Agreements and Gas Transportation Agreements for entities such as Seplat Petroleum Development Company, Ibadan Electricity Distribution Company, Genesis Energy Group and Benchmark Power International.

Disputes: Advised the Shell Petroleum Development Corporation on tax dispute of a significant value involving the Federal Inland Revenue Services and other foreign entities.

EPC: Advised an Egyptian investor on drafting and negotiating the terms of an EPC Agreement with the Egyptian Electricity Transmission Company and the development of 2,300MW thermal plant. We also advised an independent power producer on the regulatory framework for solar power generation in Nigeria.

PPP/PFI: Advised on a $30 million credit financing by Afreximbank to Index Petrolube. We are currently advising on a new town large scale mixed-use urban land development in the outskirts of Abuja. 

Project development: Advised Osapa-Lekki SPV Limited on the development of the Circle Mall.

Project finance: Advised on a $1.2 billion gas-to-power project involving Chevron Nigerian Limited and the Nigerian National Petroleum Corporation. We also advised Benchmark Petroleum International on their power sector investments in Nigeria, Egypt and the Republic of Benin. 

Regulatory: Advised two distribution companies on obtaining embedded generation licences and other regulatory compliances for their embedded generation projects. We are currently advising two Independent Power Producers on obtaining electricity generation licences.
