Kyiv, 18 January 2016 -Avellum Partners advised UniCredit Group on Ukrainian law matters in connection with the signing of agreements for the disposal of shares in PJSC “Ukrsotsbank” in favour of Alfa Group.
Linklaters advised UniCredit Group on English law matters, while Rothschild and UniCredit Corporate & Investment Banking acted as the financial advisers of UniCredit Group on this transaction.
The transaction structure envisages the contribution of UniCredit Group’s shares in PJSC “Ukrsotsbank” in favour of Luxembourg holding company of Alfa Group, ABH Holdings S.A., in exchange for newly issued shares representing 9.9% stake of the holding company post transaction.
As a result of the transaction, UniCredit Group will cease to be a direct owner of shares in PJSC “Ukrsotsbank” and will become a shareholder of a diversified banking business of Alfa Group instead.
As the next step, the parties will be seeking necessary regulatory approvals. The closing of the transaction is expected to happen in 2016.
