Nazmi Zaini is the Managing Partner of Nazmi Zaini Chambers and heads the Firm’s Mergers & Acquisitions practice group. He founded Nazmi Zaini Chambers to deliver bespoke legal and practical solutions to small and medium enterprises, public listed corporations and high net-worth individuals.

Licensed to practise as a corporate secretary, Nazmi has substantial experience in Mergers & Acquisitions, advising clients on cross-border acquisitions and takeovers involving jurisdictions such as Labuan, Hong Kong and Malta. He also advises on digital assets and the acquisition of assets and businesses across various industries including fintech, hospitality and tourism, healthcare and real estate.

Nazmi has acted as lead counsel on numerous high-value and complex matters, including transactions in the maritime, infrastructure, financial services and technology sectors. His work is distinguished by a commercially attuned approach and a focus on delivering strategic, sustainable outcomes for clients.

Recently, Nazmi was shortlisted as Managing Partner of the Year 2025 by ALB Malaysia Law Awards 2025 and Fintech Lawyer of the Year by ALB SE Asia Law Awards 2025.

  • Advised and represented a Turkish shipbuilder for the procurement and construction of one Multi-Purpose Mission Ship (MPMS) for Malaysian Maritime Enforcement Agency (MMEA) with consideration of USD 68.8 million.
  • Advised and represented Zorion Technology Labuan Ltd in its Labuan Securities Licence application and compliance with Labuan Financial Services Authority. This includes a comprehensive review of internal policy documents including but not limited to their privacy policy, risk management policy, outsourcing policy and information system and cybersecurity policy to ensure compliance with Labuan Financial Services Authority requirements.
  • Advised and represented Temokin Group on allotment of shares in its subsidiary for subscription by private investors to fund the project of construction, maintenance and operations of the Middle Ring Road Seremban, Negeri Sembilan (LINTAS) in Malaysia with the contract value of RM2.3 billion.
  • Advised and represented Eunex Corporated Limited, a Labuan incorporated company on the acquisition of 500,000 ordinary shares valued at RM581 million in a Hong Kong corporation licensed by the Hong Kong Securities and Futures Commission to undertake derivatives trading activities (Type 1, Type 2 and Type 4)
  • Advised and represented Puncak Bandaraya Sdn Bhd, a wholly owned subsidiary of Worldwide Holdings Berhad in the acquisition of parcels of land in Bukit Bandaraya, Selangor with a total consideration of RM104 million.
  • Advised and represented a subsidiary of Ranhill Utilities Berhad in a joint venture, share subscription and shareholders’ agreement with Indonesian partners for the bidding, design, construction and maintenance of a source to tap water supply project in Djuanda, Indonesia with the total contract value of RM3.5 billion.
  • Advised and represented Ranhill Utilities Berhad for the sale of the issued Islamic Medium Term Notes under the principal of Sukuk Murabahah of RM35 million in one of its subsidiary.
  • Advised and represented Ranhill Utilities Berhad in the project financing of a build, own, operate and transfer (BOOT) of a gas-fired power generation facility with a minimum net generating capacity of 100 megawatts in Sabah with a total financing sum of RM588 million.
  • Acted as legal counsel to the Malaysian-based subsidiary of a global geosciences and environmental consulting group, on the acquisition of a New Jersey Company. In this transaction, Nazmi and the team assist in the drafting, review and finalising the share purchase agreement, shareholders' agreement, promissory note, put option agreement, stock escrow agreement and other related agreements.
