Ana Mercedes has participated in financing projects for the aviation, energy, business solutions providers, fast-food chain restaurants, among others. She advices them in the incorporation and acquisition of companies dedicated to different sectors within the energy industry. She has advised internationally renowned companies on the execution of local and international investments with special emphasis on the development of investments in the energy industry through the drafting and revision of Power Purchase Agreements (PPA), EPC agreements, O&M agreements and on obtaining all regulatory approvals in El Salvador.

She has also participated in cross-border financings and provides advice to local and international banks.

Her experience includes advising multinational companies on mergers and acquisitions, regulatory analysis related to concentrations, finance participation and legal corporate matters.
Also, Ana Mercedes is very active in pro-bono work.

  • Ana Mercedes advised Citibank in a Syndicated loan to CrediQ, to be used for CrediQ working capital en El Salvador and Costa Rica. The syndicated loan was structured in two senior tranches: (i) an unsecured tranche for $35,800,000 and (ii) a secured tranche for $65,700,000
  • Ana Mercedes advised in a recent transaction as counsel for Lifemiles and Morgan Stanley for the refinancing of Lifemile's existing debt, including the cancellation of existing liens and formalization of new collateral. The Refinancing was for $400,000,000.00.
  • Arias acted as local counsel for DFC and Citibank N.A. in El Salvador, Costa Rica and Panama in connection with a financing facility to CrediQ El Salvador and CrediQ CR for $100,000,000.00, as local counsel to the lenders Arias assisted DFC and Citibank as lenders in the financing facility, drafting and preparing the security documents according to the corresponding jursidiction (El Salvador, Costa Rica and Panama)
  • Ana Mercedes led a team through the execution of a Due Diligence on Central America´s companies and review the Disclosure Schedule of the deal. Advisor to the buyer Acquisition by Akzo Nobel of 100% of the share capital of the Grupo Orbis S.A., a sociedad anónima, incorporated under the laws of the Republic of Colombia, that is the owner, directly or indirectly of shares of companies in Colombia, Ecuador, Panamá, Costa Rica, Honduras, Nicaragua, Guatemala and El Salvador. The transaction included the Pintuco paints and coatings business, Andercol and Poliquim (resins) and Mundial (distribution and services). The headquartered is in Medellin, Colombia. The Main company brands: Pintuco, Protecto and AVF paints. AkzoNobel is to further expand its long-term position in South and Central America after reaching an agreement to acquire Colombia-based paints and coatings company Grupo Orbis.
  • Acquisition by Webhelp of all the Latin America operations of OneLink for $575,000,000.00. Ana Mercedes was part of the team of local counsels for the jurisdictions of Guatemala, El Salvador, Honduras, Nicaragua and Panama for the transaction. Arias conducted the corresponding due diligence for each of the mentioned jurisdictions, advised regarding the relevant regulatory matters, and reviewed the applicable sections of the SPA for each of the jurisdictions involved. Also, Arias conducted the review of the relevant Seller Disclosure Schedules included in the SPA. The deal consisted in the acquisition by Webhelp of all the Latin America operations of OneLink in México, Guatemala, El Salvador, Honduras, Nicaragua, Panamá and Colombia. The deal is highly relevant in view that with the acquisition of OneLink, Webhelp consolidates its operations worldwide as top player in the BPO and Call Center industries.
