Thomas Kulnigg is a partner with Schoenherr, where he specialises in M&A transactions and Austrian corporate law, he also co-heads Schoenherr's intellectual property & technology practice. Thomas frequently acts for clients in particular in the financial services and TMT-industry and in the private equity-sector, advising them on their inbound and outbound investments in Austria and CEE. Thomas regularly acts for Austrian clients on general corporate matters. During his secondment to the London office of a Wall Street law firm, Thomas gained experience in US Securities Law and capital markets transactions, and, among others, advised the underwriters in one of the largest rights issues by volume worldwide by then (Rio Tinto, 2009, USD 15.2 bln). Prior to joining Schoenherr in 2006, Thomas worked with small to mid-sized Austrian law firms and the European Center for E-Commerce and Internet-Law (E-Center), under the direction of a.o. Univ.-Prof. Dr. Wolfgang Zankl. Thomas holds degrees from the University of Vienna (Mag. iur., Dr. iur.) and is co-author of a civil law textbook (Zivilrecht 24, WUV). Thomas is member of the Austrian bar association since 2010 and speaks German (native) and English (fluent).

  • Advised German logistics company Ancla Logistik GmbH (Ancla) on its merger with Austrian logistics scale-up Logsta GmbH (Logsta) and the simultaneous conversion of existing revenue based venture debt provided by Round2 Capital to Logsta;
  • Advised Caverion Österreich GmbH on acquiring all shares in PORREAL GmbH in Austria, also including its subsidiary ALEA GmbH;
  • Advised the Austrian scale-up Storyblok on its Series B financing worth USD 47m;
  • Advised the Liechtenstein Group on its investment in Tesvolt GmbH, a technology leader for energy storage in the commercial and industrial sector.
