Among her most important clients are Suzlon Energy, PBS, FMO and Mexichem.

  • Mrs. Barreto has provided legal assistance for the establishment of operations of the Costa Rican company VUELA AVIACION, S.A. a subsidiary of the Mexican low-cost airline VOLARIS, thru the creation of a Nicaraguan branch, as well as obtaining, amending and renewing its air transportation certificate from the aviation authority to operate the routes San Jose – Managua, San Salvador – Managua and Tijuana-Managua. The continued legal assistance and legal representation of the company in Nicaragua required a constant coordination with all authorities and other public and private entities involved in the operations of the company in Nicaragua, in order to negotiate all contracts and obtain all permits and authorizations, including their modifications and renewals required in a timely matter, which is a crucial issue for the company due to the implications and interconnection of their services in Nicaragua with their global operation. 
  • Legal advice in structuring the sale of companies (IGASA and ENMARSA) that own farm and beach properties for project development. The sale of the companies involved the strategic planning and structuring of the most appropriate corporate and tax structures, the preparation of due diligence on the companies and all legal documentation to sell the shares, terminate labor and other existing contracts, revoke Powers of Attorney and cancel corporate appointments, transfer the assets of the company excluded from the sale, release securities granted and hold by the company, fulfillment of pre-closing, closing and post-closing matters. 
  • Ongoing legal advice in preparing the local documentation for the partial release of the collateral granted over mortgage loans by Banco de América Central, S.A. (BAC) in favor of Overseas Private Investment Corporation (OPIC), as well as monitoring compliance of the portfolio of mortgage loans granted as security for a syndicated loan agreement granted by Citibank, N.A. and OPIC to BAC. The financing is governed by NY laws and the creation and release of the security is documented locally. Due to the revolving nature of the pledged mortgage loans, it is necessary to continuously monitor the pledged portfolio to verify compliance with security requirements and prepare the deeds necessary for releasing/substituting the pledged loans that do not comply with such requirements. Closely coordination with OPIC as creditor and CITI as administrative agent is needed. 
  • Ongoing legal advice in structuring, negotiating and preparing the local documentation for the financing transactions granted by AMERRA Capital Management, LLC (“AMERRA”) and other funds administered by AMERRA, to Corporación Agrícola, S.A. (AGRICORP), the main producer and distributor of imported rice in Nicaragua, for the purchase of rice from its supplier in the United States. The transactions are documented in Sales Contracts governed by NY laws, and structured locally in a way to provide the creditor with documents that would enhance its position in case of an enforcement proceeding in Nicaraguan courts. The operation has also involved deposit and pledge certificates issued by fiscal warehouses established in the country with their own legal regime as regulated entities.
