Markus Guggenbühl advises Swiss and foreign banks, financial services providers and inter-national companies. His specialities include debt financing, capital market transactions and financial services regulations. He is a SIX Swiss Exchange recognized representative of issuers having also many years of experience in mergers & acquisitions, restructurings and bank insolvency law.
• Acted as issuer's counsel to Julius Baer Group Ltd when it redeemed its outstanding one million Non-cumulative Guaranteed Perpetual Preferred Securities with a liquidation preference amount of CHF 225 per security (the "Preferred Securities");
• Continued to advise PricewaterhouseCoopers AG acting as the liquidator of Lehman Brothers in Switzerland on a variety of regulatory and legal issues in connection with the ongoing bankruptcy procedures involving the Swiss Lehman Brothers entities, such as the unwinding of debt, derivatives under ISDA Master Agreement and other related intra group and third party creditors transactions;
• Acting as Swiss counsel to foreign funds and institutions on Swiss corporate, takeover and stock exchange law in relation to Sika AG and the sale by the Burkhard family of its Sika stake to Saint-Gobain.
