As a Head of Energy and Mining department and member of the Corporate/M&A, Jelena is highly regarded legal expert with over 20 years of significant transactional experience, specializing in complex corporate and M&A and project finance matters, successfully advising on landmark transactions and projects of strategic importance for Serbia and the SEE region.

She is also continuously ranked in the ‘Leading Lawyers’ section of the IFLR 1000, Legal500 EMEA, Cambers Global and Chambers Europe for Serbia.

1. Advised clients on drafting and negotiating the facility agreement, inter-creditor deed, payment guarantee, direct agreement, account bank agreement, buy-back agreement, and security package.

This is extremely high-value deal (1,300,000,000.00 eur), and due to local legal restriction related to the securing of the project infrastructure, a complete new set of complex multi-level structure security packages has been envisaged and never applied in the Serbian legal market.

IMPORTANT QUALIFICATION: as a separate issue, we are very proud of our role of Compliance Officer for Gastrans, being unique in terms of very few law firms globally, with such recognition.

2. Advised client Dulux Group, Australia. The transaction involves the purchase of 99.8% of the Jub Group the leading Slovenian manufacturer of paints with subsidiaries in all respective jurisdictions.

This deal represents one of the highest value deals in the past year in the Slovenia, value of 194,500,000.00 eur. Dulux Group is an Australian paints group owned by Japan-based Nippon Paint.

3. Advised the client Rolls-Royce & Partners Finance Limited on various aspects of Serbian Law in relation to the sale of the aircraft engine, including but not limited to the advice on corporate matters, regulatory matters, aviation law. Deal value is confidential.
