Ilanit specialises in all types of Capital Markets and Securities matters related to Israeli public companies (including public and private equity and debt offerings, M&A transactions, tender offers and ongoing and regulatory advise); and in investment management (pension and provident funds, mutual funds, portfolio management, investment advice and marketing, underwriting and stock exchange membership). Ilanit has advised major Israeli public offerings.

Ilanit is a well-respected and connected lawyer with the Israeli regulators, Israeli financial institutions and public companies.

  • Advised Mr. David Wertheim, one of Israel’s leading industrialists and business leaders, who indirectly holds several companies, including Coca Cola Israel and Mizrahi-Tefahot Bank, the fourth largest bank in Israel, in the NIS 1.125 billion series of transactions for the sale of 9.8% and later an additional 4.3%, of his controlling interest in Alony Hetz Properties & Investments Ltd., one of the major real estate investment companies in Israel traded on TASE. The sale of Wertheim’s controlling interest in Alony Hetz enabled the receipt of a permit to control Mizrahi-Tefahot Bank, taking into consideration Wertheim’s unique circumstances under the Israeli Anti-Concentration Law, which bars the simultaneous control in a major financial entity (i.e. Mizrahi-Tefahot Bank) and a major “real” (non-financial) entity, such as Alony Hetz.
  • Advises Israel Electric Corporation Ltd. in all matters pertaining to the ongoing reform of the regulation of the Israeli electricity sector, expected to amount to NIS 7-8 billion, including: the competitive procedure for the sale of the Alon Tavor Generation Site for an estimated amount of NIS 1.9 billion to MRC Alon Tavor Ltd., a consortium of companies led by China Harbour Engineering; the establishment of its subsidiaries and its new combined-cycle power plants; and financing-related matters, including vis-à-vis the existing creditors of IEC, the NIS 1.7 billion public offering of bonds which was three-times oversubscribed by investors, IEC’s first public issuance of tradeable commercial papers at a total par value of NIS 220 million, and IEC’s first private placement of non-tradeable commercial papers at a total par value of NIS 200 million.
  • Advised Altshuler Shacham Provident Funds and Pension Ltd. in its public offering, one of the largest IPOs of a financial services company in Israel’s history and the first equity IPO of a provident fund in Israel, reflecting an effective company value of NIS 1.13 billion, which has grown since the IPO to approximately NIS 2 billion as of December 2019. 
  • Advised Jefferies Group LLC as underwriters in the USD 210 million IPO of the Tel Aviv Stock Exchange Ltd., following her advice with respect to the registration of Jefferies as a foreign underwriter in Israel and as a remote member of the TASE.
  • Advised GAM Fund Management Limited in the first registration of global funds in Israel, and advised three out of four global fund managers which successfully registered funds in Israel (GAM, BlackRock and Franklin Templeton). Ilanit also advises additional global fund managers currently in the process of registering their funds in Israel. Additionally, she advised iShares by BlackRock in the first registration of ETFs in Israel, which included 23 different ETFs, including in the active participation in the drafting process of the TASE’s Listing Rules for ETFs.
