  • Fransisca led Makes in assisting PT Plaza Indonesia Investama (“PII”) in connection with the proposed syndicatio¬n of PII and PT Plaza Indonesia Realty Tbk. (“PIR” collectively with PII as the “Borrowers”) pursuant to the USD 265,000,000 Facility Agreement dated 24 May 2022 entered into by and between (i) the Borrowers, (ii) CIMB Bank Berhad, Singapore Branch, Credit Suisse AG, Singapore Branch, and PT Bank CIMB Niaga, Tbk as the mandated lead arrangers and bookrunners, RHB Bank (L) Ltd, Woori Bank Singapore Branch and PT Bank Woori Saudara Indonesia 1906, Tbk as mandated lead arrangers and BDO Unibank, Inc. (Singapore Branch) and PT Bank KEB Hana Indonesia as arrangers, (iii) the financial institutions listed in Schedule 1 (The Original Lenders) of the Facility Agreement as the original lenders (“Lenders”), (iv) PT Bank CIMB Niaga, Tbk as the agent and (v) PT CIMB Niaga Tbk as security agent, in the aggregate principal amount of up to USD265,000,000 and the accordion facility in the amount of up to USD35,000,000 (“Facility Agreement”).
  • Fransisca led Makes in assisting PT Gajah Tunggal Tbk (the “Client”), a prominent tire-manufacturing company in Indonesia, and in its incurrence of a new credit facility with the tenor of 7 years from a syndication of banks comprising of PT Bank Central Asia Tbk (“BCA”), PT Bank Permata Tbk (“Permata”) and PT Bank KEB Hana Indonesia as the original lenders (“Original Lenders”), in Rupiah denomination in the amount of IDR1,325,000,000,000 (“New Facility”) pursuant to a Syndication Credit Facility Agreement dated February 26th, 2021 entered into by (i) Client as the borrower, (ii) BCA as mandated lead arranger and bookrunner, (iii) Original Lenders as the creditors, (iv) BCA as the facility agent of the financing parties and (v) Permata as the security agent of the financing parties.
  • Fransisca was the lead partner for representing the client, Auric Digital Retail Pte. Ltd (“BidCo”), to perform a Voluntary Tender Offer (“VTO”) of PT Matahari Department Store Tbk (“MDS”) [MDS is the pioneer of the department store format and is currently the largest retail company in Indonesia, operating 147 outlets in 76 cities] shares and provision of a loan from CIMB Bank Berhad, Singapore Branch (“CIMB”) to BidCo in the amount of S$95,000,000, the proceeds of which were used to finance the VTO.
  • Fransisca was the lead partner in the Public Offering of Dana Investasi Real Estat (Real Estate Investment Fund or "DIRE") Simas Plaza Indonesia by PT Sinarmas Asset Management, which included the sale of majority shares of PT Plaza Indonesia Realty Tbk. DIRE Simas Plaza Indonesia is the largest DIRE that has ever been offered in Indonesia, and the first DIRE whose units are listed on the Indonesia Stock Exchange with the total asset amounting to IDR 13 Trillion (approximately USD919 million).
