Evangelina joined the firm since 2002; she plays a holistic role, is a full-time leader and lawyer with extensive knowledge in legal matters, who has been in the private practice of law for over 38 years, ensuring accurate and adequate advice for her clients.

Evangelina has led teams in the different practice areas and has participated in multi-jurisdictional mergers and acquisitions, and project financings of significance in Honduras and Central America, involving diverse sectors. She has advised several national and international companies, banks and insurance companies, energy, services, food, telecommunications, free zones, and integrates several boards of directors for Arias clients.

Other relevant experiences include her participation as legal advisor in the structuring, financing and sale of renewable energy projects with funding from international banks. She has also provided tax advice on complex operations successfully, both local and international operations.

  • Evangelina provided AVENT a subsidiary of Halyard Health (Seller) legal counsel in the sale of all assets, rights and properties of every kind in the operation of the Business in Honduras in a multiregional sale of transferred subsidiaries, including Honduras, to Owen & Minor.
  • Halyard Health, Inc entered into an agreement with Owens & Minor, Inc. to sell its Surgical and Infection Prevention (“S&IP”) business for $710 million. S&IP provides healthcare supplies and solutions that target the prevention of healthcare-associated infections.
  • Assisted Bayer AG in the prior notification process to the Antitrust Regulator (CDPC) regarding the acquisition of Monsanto Company with legal effects in Honduras, considering that both Bayer AG and Monsanto Company have a local subsidiary in Honduras
  • Advised Cooke Seafood Panama Inc., an affiliate of the Cooke Family of companies, a global seafood leader in the purchase of the Honduran operation of Seajoy Seafood Corporation Group, one of Latin America’s largest producers of premium farmed shrimp including shrimp farms, packing and shipping facilities.
  • Provided legal assistance to Caña de Azúcar Holding in the due diligence of the companies to be purchased; acted as local counsel to the SPA of a local sugar mill and the filing of the authorization request to the competition authorities for the approval of this concentration in the concentrated sugar market in Honduras.
