Jurisdiction overview

Malta has a mixed legal system, though its basis is civil law, the country’s historical connections to Britain means that it also contains elements of common law.

Law firms are registered with the Maltese Chamber of Advocates. As a member of the EU the country allows EU, EEA and Swiss lawyers relatively free access to practice though the country has no foreign law firms present in its market. There is no system in place for registering firms from outside the above stated countries. 

Like all EU states much of the country’s legislation is in line with EU regulations and directives.

The country has developed a vibrant economy in the areas of financial services and gaming and most of the island’s commercial law firms are structured around catering for work in these areas. Investment fund work and company registration are also key areas of business for lawyers.

During the research period, the firm has been active in corporate mandates with particular focus on restructuring work. It has advised on the restructuring of an asset management firm and on debt restructurings for debtors. It also advised distressed investment company in liquidation.

Camilleri Preziosi

Camilleri Preziosi is one of the strongest firm in Malta and active across banking, capital market and corporate area.

In banking and finance, the firm has acted for security trustees of the lenders and international bank on the financing of a residential real estate projects. 

In capital markets, the firm has acted for the issuer on an IPO and on the listing of secured and unsecured bonds on the Malta’s stock exchange.

The corporate team has been active on M&A, advising the clients on sale of shares. It also acted for pharmaceutical companies on the transfer of shares as part of a restructuring.

Ganado Advocates recent portfolio of work includes regulatory advice to financial institutions concerning MiFid II and AIFM Directive. 

During the research period, the banking team picked up several mandates in asset finance where it primarily advised the lenders. In insurance sector, the firm advised several notable domestic companies on post-Brexit solutions, new investments and re-financing mandates.

In the capital markets space, the firm acted for separate issuers on IPO and shifting of share listings.
