Jurisdiction overview

Denmark is a civil law jurisdiction that is consistently ranked by the World Bank as one of the best countries in which to do business. It is considered to have one of the lowest levels of income disparity – yet interestingly has no government-mandated minimum wage – among the highest levels of social mobility, one of the highest per capita income rates and very high levels of democracy and transparency, not to mention consistently ranking as the country with the lowest level of corruption in the world. 

The country maintains a diverse economy with a strong services industry backed up by significant industrial and agricultural sectors. Energy production makes up a sizable chunk of the nation’s output and it is renowned as one of the leading centres for wind technology in the world. There are also considerable deposits of natural gas and oil reserves in its North Sea territory, the exploitation of which remains an important industry. On the agricultural side, it is a net food exporter and is renowned as one of the world leaders in pork meat production.

The Danish legal market stands out from most other developed nations’ in that it is almost entirely populated by domestic firms. There are very few international or regional firms operating in Copenhagen – where all the major practices are located – and none that make any significant impact on the market.

Lawyers tend to be fairly specialised in their fields, though will often work in several related practice areas. For instance, most debt capital markets work will be done by banking and finance specialists rather than capital markets experts, while equity capital markets work will more often than not be carried out by M&A teams. While the market is well developed and relatively sophisticated, there remains little appetite for complex financial products or services so there are few instances of these on a regular basis.

Accura

Accura is best known for its strong M&A practice, which is one of the market’s leaders. In recent years the firm has demonstrated its expertise in financing transactions. 

The banking team is renowned for its acquisition financing work, and regularly represents borrowers and lenders on bilateral and syndicated term loans and revolving credit facilities. In recent times the firm has represented pension funds on financing investments. 

The M&A team generally works on several of the largest cross-border deals in the market, with pharmaceutical and technology companies figuring prominently among its clients. This includes advising on buy and sell-side mandates for Scandinavian and international private equity houses such as Francisco Partners and Lone Star Capital. 

The firm also has strengths in other financial and corporate areas including restructuring, where it often works for the creditors, and in capital markets, where it is especially strong on the equity side.  

In the projects space the firm generally works on infrastructure matters, and has recently collaborated with Port of Frederikshavn on several developments.  

Recent staffing changes include the departure of directors Nina Riisgaard Lauritsen and Louise Louise Studstrup Muurholm, who moved on to co-found Capital Law Firm.

Bech-Bruun

In the Danish market Bech-Bruun is recognised for its strong M&A and projects teams. It also boasts of a very credible banking and restructuring and insolvency offering. 

The firm’s previously acquisition finance-focused banking practice has broadened in focus and now regularly acts on large asset financings, project financing and regulatory mandates. It often represents the borrowers and lenders on deals involving the aviation, manufacturing and real estate sectors.  

Despite the slowdown in the Danish capital markets area, the firm has strong expertise on the equity side and recently represented the underwriters in a large Nasdaq Copenhagen IPO.  

The M&A and projects teams have strong presences in Aarhus and Copenhagen, and complete several of the market’s biggest transactions, especially within the energy and oil and gas sectors. In projects, geothermal projects, offshore pipelines and wind farm developers often create work for the team.  

The firm’s restructuring team often represents debtors and creditors on a mix of formal restructurings, distressed acquisitions and insolvency proceedings. 

A key staffing change during the research period saw partner Søren Meisling retire from the M&A team after over four decades at the firm. In the restructuring and insolvency space, partner Søren Christensen Volder joined from Lindhardt Steffensen, while Simon Lagrelius moved to Poul Schmith.

The Copenhagen office of Bird & Bird is best known for the strength of its banking and M&A team.

Carsted Rosenberg

Dahl
