Jurisdiction overview

Argentina’s constitution, first written in 1853 and based on the US model provides the basis for its law. Argentina has a civil law system. 

Those who wish to practice law in Argentina must obtain a masters in law and register with a local bar association. Local lawyers are not allowed to partner with foreign lawyers, but they can employ foreign lawyers and be employed by foreign lawyers or firms. Foreign lawyers can advise on global law but are not allowed to appear in court, unless they re-qualify. The process for re-qualifying depends on the country where the lawyer obtained their original degree.

The market is largely made up of local firms though some global firms such as Baker & McKenzie and Hope Duggan & Silva have a presence in the country. Many local firms are part of larger associations or have alliances with firms in other countries.

Allende & Brea has a strong project development practice, particularly in the mining sector. The firm is also  active in banking, M&A and restructuring and insolvency.

In banking, the firm helped Banco Industrial grant a credit facility to finance Parque Solar Fotovoltaico Ullum IV.

In one highlight M&A deal,  the firm represented the pesticide producer Syngenta on its process acquisition by the national chemical company ChemChina.

In project development, the firm advised Nucleoeléctrica Argentina, a company that performs nuclear power generation activities, in drafting its EPC agreements with China National Nuclear Corporation to build two nuclear power plants.

The restructuring and insolvency team advised Argentine companies of Codere Group, a Spanish gaming group, in  a debt restructuring.

In one highlight banking deal, the firm helped Medanito, an energy company, obtain a syndicated loan.

The firm’s M&A team assisted Black & Decker on an acquisition of Newell Brands’ tools business.

Beccar Varela

Estudio Beccar Varela is well-known as a strong banking and M&A firm. The firm has good relationships with a number of banks.  

Project finance has been active for the firm and it has advised YPF on a loan to finance two power projects in the country. While the firm has recently advised the borrowers on project finance transactions, it tends to advise the lenders on corporate finance transactions.  

The capital markets team advises a mix of issuers and underwriters. In one recent notable deal, the firm advised Despegar on its IPO.

Best known as a leader in project development, Beretta Godoy is also active in M&A.

The project development group assisted the Canadian-based gold producer Yamana in the negotiation of an agreement with Fomicruz for the exploration and development of a high-grade gold and silver mine in Santa Cruz, Argentina. 

The firm also advised the Hong Kong-based company Huayou International Mining in negotiating the investment and joint venture agreements for two lithium projects in Salta, Argentina.

Significant clients included Yamana, Calypso, Minera Sierra Grande, China Petroleum Pipeline Bureau and China Energy Engineering Group.

Bomchil

M&M Bomchil is strong in banking, capital markets and M&A.

The banking group advised Susgel Company on a secured credit line.

The capital markets group represented Aeropuertos Argentina 2000 on its issue of bonds. 

In M&A, the firm focused on media, sports and food. In particular, it advised Viacom on an acquisition of Televisión Federal in Argentina from Telefónica.

Key clients include PepsiCo de Argentina, Nestlé Waters, Biosidus, Itaú Unibanco and Compañia General de Combustibles.
