Over the years, Pellerano & Herrera has represented and assisted underwriters in more than 15 bond offerings of the Dominican State. In the last year, we acted as:

  • Counsel to the underwriters, Citigroup Global Markets Inc. and J.P. Morgan Securities LLC, in two 144A/Reg. S offerings, including a US$1 billion aggregate principal amount of bonds due in 2048 and a DOP40 billion aggregate principal amount of bonds due in 2023. This deal was recognized by LatinFinance 2018 Deal of the Year Awards in the category “Sovereign Issuer of the Year”.
  • Local counsel to underwriter J.P. Morgan Securities LLC. in a US$1.3 billion bond offering by Dominican State. The transaction was closed on July 12, 2018. 
  • Legal counsel to The Netherlands Development Finance Company (FMO) in the US$38 Million refinancing granted to Taiwanese energy company, General Energy Solutions, for the development of Monte Plata Solar, the largest solar energy plant operating in the Dominican Republic.
  • Local counsel  to Parkland Fuel Corporation, one of North America's fastest growing independent marketers of fuel and petroleum products, in their US$1.21 billion acquisition of 75% of the shares of Sol Investment Limited, which is an owner of Esso gas stations in the Dominican Republic. 
  • Assistance to Tofane Global, a Paris-based global provider of telecom and digital services for carriers, in their acquisition of Altice International Wholesale (AIW) consisting of the Altice Group’s international inter-operator carrier activities (roaming) in France, Portugal and  the Dominican Republic.
  • Assistance to CAVALI S.A., Peruvian company that provides registration of securities, in sale of its shares of CEVALDOM, local company that provides registration of securities, for over US$10 Million to the Dominican Stock Exchange, Banco de Reservas, Banco BHD Leon, Banco Popular Dominicano, Parallax Valores Puesto De Bolsa and Alpha Sociedad De Valores, S. A. 
  • Assistance in US$119.5 Million financing of the real estate complex “Tropicalia”, which is developed in Miches, Dominican Republic, by the renowned Venezuelan Cisneros Group, Cisneros. This is the first financing by IFC and IDB Invest as sustainable high-end resort in Latin America and the Caribbean.
  • Ongoing legal assistance on corporate, commercial, labour and tax issues of the day-to-day operations of DR Cruise Port (Carnival Corporation), Swiss Port International, Smurfit Kappa, Procter & Gamble, Medtronic, Whitehaven Holdings, Transbel, Louis Vuitton, Avon, Abbvie, Abbott Laboratories, Uber, Amhsa Marina Hotels & Resorts, Banco Popular Dominicano, Conduent Solutions (former Xerox), among others.
