Recent transactional highlights:

  • OMG served as Dominican counsel to BNS, Citibank N.A., and Multibank in the 150 million dollar refinancing of DP World Caucedo, a marine terminal and free zone located in Punta Caucedo, Dominican Republic, that accounts for around 60% of the maritime cargo movement in the country;
  • Assisted Altice Caribbean with the merger of Altice Caribbean, S.A., previously known as Orange Dominicana, S.A., and Tricom, S.A., two leading telecommunication companies in the Dominican Republic owned by Altice Group, the multinational cable and telecommunications company, with presence in France, Israel, Belgium & Luxembourg, Portugal, French West Indies, Indian Ocean Area and Switzerland.
  • OMG assisted Putney Capital Management with the sale of 70% of equity interests in V Energy, S. A. (“V Energy”), Administración de Estaciones de Servicio, S. A. S. (ADESER) and Propiedades Industriales, S. A. (collectively the “Target Companies”), corporate vehicles primarily focused on the business of distribution of fuels and the sale of lubricants under the “Shell” brand in the Dominican Republic to TOTAL.
  • Assisting Meliá International Hotels in the design of the reorganization of its time sharing units in the Dominican Republic from a corporate and tax perspective, in order to comply with local regulation and determine efficient tax planning. 
  • Assisted Banco Dominicano del Progreso in a transaction contemplating the acquisition by The Bank of Nova Scotia (BNS) of up to 97.44% of the equity of Banco del Progreso. assistance included the support to Sellers in the buyer’s due diligence process, as well as the design and implementation of the fiscal and legal structure for the transaction and the negotiation and execution of the corresponding agreements. Assistance also contemplated the design and execution of the legal strategy aiming towards obtaining the applicable regulatory approvals. This transaction consolidates the 3rd and 4th largest banks of the Dominican Republic, excluding the State-owned Banco del Reservas.
  • Assistance to Grupo Rojas & Co., a leading company in the beverages industry in the Dominican Republic, in the sale to Cervecería Nacional Dominicana (CND) of its primary assets concerning the manufacture, sale and distribution of non-alcoholic, carbonated and non-carbonated beverages.
  • Assistance to Playa Hotels & Resorts in the current development of two hotels totaling 750 room oceanfront resort complex features over 1,300 square meters beachfront and a convention center, During the current phase of the project, OMG is collaborating with the contractual framework for the development and construction of the hotel as well as general consults that arise from this phase of development of the Project. 
  • Legal assistance to Putney Capital Management, Ltd.  in the merger of Haina Energy Holdings I, Caribe Energy, Ltd., Dominican Fuel Co., Ltd., CBPF Haina, Ltd., Basic Energy (BVI) Ltd. and Haina Energy Holdings II, entities that are part of the ownership structure of Empresa Generadora de Electricidad Haina, S.A. (“EGE Haina”), the largest power generating company in the Dominican Republic.
