  • The Firm was engaged by Private Sector Foundation Uganda as Transaction Advisory and Legal Advisory consultants for the establishment of the Construction Special Purpose Vehicle.
  • The Firm was engaged by a government owned Bank to advise and prepare the requisite arrangement documents with key Electricity sector players to enable the last-mile electricity connections for the Electricity Distribution companies in the country.
  • The Firm was engaged by one of the commercial banks in Uganda to advise and prepare documentation in respect of a syndicated loan arrangement for a Facility to the tune of Ush 95 Billion issued to a Government Parastatal. The engagement involved advising on the requisite documentation, the legal aspects in respect of the financing between all syndicate banks and registering the requisite documents in regard to the transaction.
  • The Firm was engaged to advise a government owned Bank on a syndicated project finance facility of USD 12 million to be extended to one of its clients for the financing of a power project.
  • Appointed as Administrators of one of Uganda's largest Telecom Limited, an information and communication technology network company in Uganda, to reorganize and restructure the company and adjudicate large debts of about US$ 200,000,000 (United States Dollars Two Hundred Million Only).
  • Appointed as Receivers/Managers of Spencon Services Limited to recover a combined sum of $ 37,094,951.91 from Spencon Services Limited - In Receivership which had defaulted on several loan facilities obtained from three reputable banks.
  • Appointed as Caretaker Managers under the Copyrights and Neighboring Rights Act, 2006 to supervise, manage and restructure the corporate structure for one of the oldest and largest collective management organization.
  • The Firm advises the liquidator of the Cayman Island company on matters related to the management of the subsidiary's assets particularly those in Uganda. Given the insolvency of the Parent company in the Cayman Islands, the Firm has been engaged to provide legal advisory services as to the treatment of the parent's insolvency proceedings against the assets of the subsidiary.
  • Conducted an incisive legal review of concession documents relating to the grant of power distribution concession by the Electricity Distributor to one of the largest energy distributors in Uganda. The purpose of the modifications was to undertake a change in the license parameters used for the purpose of determining the electricity price to the final electricity consumer. Following this legal review amendments were made to the supply license leading to increased efficiency in electricity distribution.
  • The Firm has Provided advisory and support in the design and structuring of a Working Capital facility scheme and a Guarantee Scheme that was created by company owned by the government of Uganda and funded by the World Bank. This scheme provided working capital to entities that offered renewable energy products in the Ugandan market. These cash injections have been helpful in increasing access to renewable energy products.
  • The Firm has advised a company owned by the government of Uganda in the obtainment of grant funds from ORIO (The Royal Government of Belgium). These funds financed feasibility studies for the development of ten mini hydros with a total generation capacity of 6.5MW. Part of the 3 megawatts was to be sold to the main grid and the rest was to be distributed through minigrids. Our contribution, therefore, enabled the increase in power generation for national development.
  • The Firm was engaged to advise a government-owned Bank on a syndicated project finance facility of USD 12 million to be extended to one of its clients. We were tasked to guide on the most appropriate approach the syndicated loan should adopt to protect the interests of all the financiers.
  • The Firm was engaged to provide advisory services to Invested Management Company which was financing SolarNow to facilitate its provision of Solar/ Photovoltaic systems to rural households under a contract with Rural Electrification Agency (REA).
  • The firm was tasked with reviewing the power distribution concession by the Government of Uganda to one of the Largest Electricity Distributors. This project entailed advising Electricity Regulator on the implications of the concession agreements. The firm was also required to advise the Authority on the possible actions it could take to protect its interest in the concession arrangement.
  • The Firm was engaged to provide advisory services regarding construction law issues affecting the Transmission company projects. We advised the company on their contract with AECOM consultants.
  • Advised on the Demerger of Life and Non-Life Insurance Business for UAP. The Firm executed the Company’s demerger and was also engaged in the establishment of UAP life Assurance Uganda Limited where it currently serves as Company Secretary.
  • Advised an International LLP (UK office) on a transaction involving the management and supervision of a potential insolvency of one of its clients, a notable telecom and internet data service provider in Uganda, against a liability of approximately USD 5,000,000 (United States Dollars Five Million Only).
  • Advised Infraco Africa, a global financier, on an intended funding of over Euros 2,000,000 to a French entity with a Ugandan subsidiary. We also conducted a due diligence on the Ugandan subsidiary, the first company in Uganda to introduce battery driven motorcycles operating in Uganda’s capital, Kampala.
  • Advised one of Uganda’s telecom companies on the obtainment of its National Telecom Operator license issued by the Uganda Communications Commission. Also engaged to assist with its compliance obligations under the license including the requirement to list with the Uganda Securities Exchange.
  • The Firm, together with Uganda Banker’s Association, is involved in the operation of the first Asset Reconstruction Company (ARC) in Uganda, established to assist the Financial sector, Businesses and the economy as whole, to adequately manage debt in view of the obsoletion of the Non-Performing Assets Recovery Trust (NPART).
  • Advised one of the largest sugar producers in Uganda, on a syndicated facility it was obtaining from a financial institution worth USD 22,750,000 and UGX 46,550,000,000. We participated in the negotiation of the facility with the financial institution and preparation of the security documentation.
