  • Advising the Greek State on the signing of an amended investment agreement with Canadian mining company Eldorado Gold. The revised contract represents the largest FDI in Greece over the last decade and one of the largest in the country’s FDI history. It was awarded ‘Transaction of the Year’ at the recent BOUSSIAS Business Law Awards in Greece (https://www.businesslawawards.gr).
  • Advising KKR on its effort to acquire a 49% stake in HEDNO through its participation in the relevant public bidding process. As the target asset is operator of the country’s energy network, conditions of the tender including strict controls on the basis of national security.

  • Advising the four Greek systemic banks on a capital injection of four bilateral bond loans as well as a RCF funding into Aegean Airlines. This involved four months of discussions with the banks to finalise four separate draft versions of the bilateral bond loans.
  • Advising Black Sea Trade & Development Bank on a large financing to state-owned Public Power Corporation SA, which was about to go into administration. This involved a state guarantee on the debt, which is uncommon and leads to complexities over perfection and security.

  • our practice was busy on a number of cross-border financing structures, privately placed bond/note issuances, and establishing Special Purpose Vehicles (SPVs). A highlight included advising ELLAKTROR, a listed company in the Athens Stock Exchange in its latest share capital increase of €120mn, which included the issue of a prospectus.

  • Advising the privatisation fund, HRADF, on its granting to third parties of the concession right over the Attica Motorway for a period of up to 25 years. The €2 billion Athens Ring Road Project is the largest motorway project in Greece and one of the largest co-financed road projects in Europe.
