Recent transactional highlights of the practices:

  • Lead counsel to the Swiss based buyer Palmarium Group, acting through their Dutch subsidiary VIEO B.V., on the acquisition of all shares in Lebara Group B.V., a Dutch Mobile Virtual Network Operator (MVNO) with operations in various European countries. The acquisition was partially financed by a 350 million EUR bond issued by VIEO B.V. in co-operation with Pareto Securities, Oslo, which has been listed on the Oslo Stock Exchange.
  • Advising Credit Suisse in phase 2 of an export credit agency (ECA) transaction under which the facility was granted first in 2014 by Credit Suisse as commercial co-ordinating facility arranger to the Ethiopian Railway Corporation to finance Ethiopia's major railway infrastructur
  • Last year's KNIME transaction was ranked among the top 10 venture capital investments in the current Swiss Venture Capital Report. Froriep advised the founders and shareholders of AG with regard to a €20 Million Equity Investment from Invus. Congratulations to Mark Montanari, Evelien Zemp, Benjamin Dürig and Catrina Luchsinger Gähwiler on their achievements.
  • Advising JSC VTB Bank in connection with the restructuring of an approx. USD 3 billion secured facility agreement entered into with the Eurasian Resources Group as to Swiss law including tax law, and in particular the taking of security interest over assets and shares of a group entities incorporated in Switzerland. We further advised JSC VTB Bank in connection with several amendments to the facility.
  • Advising the European Bank of Reconstruction and Development (EBRD) as to Swiss law including tax law, on several closed and on-going financing transactions and the taking of security interest over various assets in connection with projects in Eastern Europe.
