Our corporate practice is recognized in virtually every area of corporate transactions, including governance, corporate restructurings, M&A, joint venture transactions (including antitrust issues) and private equity transactions. The practice group work varies from attending client’s day to day corporate business needs to leading some of the largest and most complex corporate transactions in Mexico. Particularly, our experience on M&A derives not only from previous transactions but also from litigation related complex acquisitions. Our team approaches transactional work from a business-like and entrepreneurial perspective.
Our dispute resolution team provides legal services for clients across a large range of issues, helping clients to build constructive dialogues with counterparts and legal authorities; acting as counsel in domestic and international arbitration proceedings; representing clients in settlement negotiations, mediations and other types of alternative dispute resolution and dispute avoidance; handling a wide variety of litigations, including insolvencies, business litigation and trials, complex commercial litigation, civil, and administrative litigation. Our team of experts have successfully undertaken high profile and complex cases.
We have broad experience in dealing with energy related matters and in advising clients in the different stages of the development and operation of projects linked to electricity and hydrocarbons, including contracting with different governmental entities such as Petróleos Mexicanos (Pemex) and the Federal Electricity Commission (CFE) and their corresponding subsidiaries. We are experts in dealing with the complex regulatory issues applicable to international and domestic private investors participating in the Mexican energy sector and continuously provide advice and solve complicated matters before, among others, the Mexican Energy Regulatory Commission (CRE), the Ministry of Energy, the National Centre for Natural Gas Control (Cenagas) and the National Centre for Power Control (Cenace).
The Firm regularly represents financial institutions and debt funds as creditors, as well as corporate borrowers, in their credit operations and guarantee structures, including syndicated or subordinated debt structures (mezzanine), among other complex structures. We also have experience in project finance.
We proudly have one of Mexico’s premier reorganizations, insolvency and restructuring practices. The Firm represents creditors (domestic and international) and debtors in all types of insolvencies, reorganizations, restructurings, and bankruptcy procedures (out-of-court and in-court), including domestic and cross-border transactions such as U.S. Chapter 15 and Chapter 11 proceedings.
We provide a complete range of labour related legal services, including advising international and domestic clients on all aspects of labour law, including social security and collective bargaining agreements. Our team has extensive experience counselling on a variety of employment issues, labour disputes and litigation, and at the bargaining table.
We have a premier real estate practice, which provides clients with integrated legal services for all phases and stages of real estate related projects.
