Since the enactment of the Federal Competition and Consumer Protection Act 2018 (FCCPA) in Nigeria in 2019, our lawyers have acted for and/or advised a diverse range of clients from different industries in all areas of competition law.

Some of our work in this respect include:

I. Advised an oil and gas industry group on the anti-competitive effect or otherwise of a technical standard proposed to be adopted;

II. Advised a licensed satellite telecommunications services provider on the procedural requirements for and substantive assessment involved in notifying a merger to the Federal Competition and Consumer Protection Commission (FCCPC) and the Nigerian Communications Commission (NCC), the communications regulator;

III. Successfully filed a merger notification to the FCCPC in respect of the global acquisition of an EduTech company and its Nigerian subsidiary. The merger is valued at US$450,000,000.00;

IV. Successfully filed a merger notification to the FCCPC in respect of the acquisition by the Saudi Agricultural and Livestock Investment Company (SALIC), a fully owned subsidiary of the Public Investment Fund of Saudi Arabia (PIF), of an indirect stake of approximately 35.43% in Olam Agri Holdings Pte. Ltd. (Olam Agri, together with its controlled affiliates, the Target Undertaking) from Olam Holdings Pte. Ltd. (Olam Holdings), a wholly owned subsidiary of Olam Group Limited (Olam Group).

Recent case highlights:

Advised on the settlement strategy for all pending anti-trust on the acquisition by a global Middle Eastern public investment fund of an indirect stake of approximately 35.43% in a subsidiary of the global leading food and agri-business group with a value of US$1,240,000,000. This required working with two foreign law firms, advising on the merger and acquisition filing process, project management, document review, and successful filing of the acquisition.

Advised on the acquisition of the entire share capital of an international oil and gas company by a leading indigenous energy company. The transaction was valued at US$1,283,000,000. This required project development, collaborating with two leading Nigerian law firms, reviewing ancillary documents, and compliance metrics, analysing probable outcomes and developing case strategies on pending litigation cases, and engaging with the sector regulators.

Advised a leading multinational indigenous energy company on the foreclosure sale of four drilling rigs by a global bank valued at US$36,000,000.00. This required advising on the filing process, document review, conducting due diligence, and successfully filing for negative clearance.
