  • Acting in various acquisitions and take overs in Singapore and overseas including:
    • advising vendors in the sale of Team-Metal, a global supplier of custom machined parts, to the Acrotec Group;
    • advising founders on their disposal of D'crypt, a high-value engineering and research company delivering full-spectrum leading edge information and security solutions, to ST Engineering;
    • advising founders on the disposal of Knight Auto, a leading precision product designer and manufacturer of products in the testing and assembly segment of the semiconductor industry, to Templewater;
    • advising a leading semiconductor manufacturer on the acquisition of JTC premises in Singapore and tenders for cleanroom construction and commissioning;
  • Advising corporates and family offices on the establishment and re-organisation of effective corporate structures in Singapore and in other jurisdictions.
  • Acting in debt restructuring involving listed companies and schemes of arrangement.

Recent case highlights:

  •  Acted in the landmark Court of Appeal case of Pathfinder Strategic LP and another v Empire Capital Resources and another appeal [2019]) 2 SLR 77 for the Berau Group of companies in their US$1b bond restructuring exercise in which the Court of Appeal affirmed that third party releases are permissible in schemes of arrangement .
  • Acted for an insured party in a COVID-19 business interruption claim. The High Court refused the insurer’s application to stay the case in favour of arbitration in a landmark decision on the efficacy of “carve-outs” in arbitration agreements (Silverlink Resorts Limited v MS First Capital Insurance Limited [2020] SGHC 251).
  • Acted in a Court of Appeal case that upheld the effect of offset arrangements that were being disputed by the claimant bank (CIMB Bank Bhd v World Fuel Services (Singapore) Pte Ltd and another appeal [2021] 1 SLR 1217).
  • Acted in the landmark Court of Appeal (International) case of Credit Agricole v PPT Energy Trading Co Ltd [2024] 2 SLR 95 on letters of credit and letters of indemnity in crude oil sales transactions.
  • Regularly advises on and acts in employment disputes, including the recent case of Thillainathan Aravinthan v EMC Information Systems Management Ltd [2021] SGHC 289.

Acted for the liquidator in JTrust Asia Pte Ltd v Group Lease Holdings Pte Ltd [2024] SGHC 195, where the Court rejected allegations of bias against the liquidator.
