Juristconsult Chambers advised ES-KO and
Phatisa, on the acquisition of International Facilities Services (IFS) from Development Partners International. Acting as local counsel, the team drafted and reviewed documentation for the subscription of shares and financing through loan agreements, reviewed the SPA, and reviewed governance documentation, including the constitution and shareholders’ agreements of the Mauritian target and other companies. The transaction closed in November 2024 and was led by Abdool Rahim
Salehmohamed.
The firm also
assisted the shareholders of la Prudence Holding Ltd with regards to the sale of
the majority of the shares held in la Prudence Holding Ltd.
The team, led by partner Nicholas Richard,
was responsible for explaining and discussing the rights and obligations of ten different clients under the SPA. They also
assisted individual clients through the signing process to ensure the deal closed in time.
The firm acted as local counsel and the transaction closed in July 2024.
