Highlights
In banking, the firm advised Salarpuria Sattva group entities on construction finance and lease rental discounting facilities aggregating. An innovative mechanism embedded within the transaction was the eventual conversion / repayment of the term loan facility into a lease rental discounting facility contingent upon the achievement of certain criteria, inter alia, including maintenance of pre- defined promoter contribution and lease rental income threshold.
In equity capital markets, the firm advised on several “market-first” transactions, including advising the BRLMs on all aspects of Indian law in the proposed initial public offering by SAMHI Hotels. This transaction was also one of the first transactions to be listed on a T+3 basis.
In restructuring and insolvency, the firm advised and represented L&T Finance in initiating Corporate Insolvency Resolution Proceedings against Sterling Healthcare. The matter assumes great significance as it settles the law on limitation under the provision of the Code and the scope of ‘financial debt’ under the Code.
