  • Advising the asset management department of a regional bank in the process of selling certain assets. US$15 MM transaction;
  • Advising an energy company on the credit for $ 475,000,000 granted by several banks;
  • Loan granted to an important Hotel Group. by Scotiabank & Trust (Cayman) Ltd. The firm advised the client throughout the process. UDS $30,000,000 transaction;
  • Syndicated loan granted to an important Consumer Products Company by Banco de Costa Rica, Banco Nacional de Costa Rica, Banco BAC San José, Scotiabank Costa Rica, to convert a Costa Rican Colones debt into dollars. The firm advised the client throughout the process;
  • $250,000,000 Note Purchase and Private Shelf Agreement entered between a Costa Rican industrial and commercial group and its U.S. affiliate with a major U.S. institutional investor. The Firm advised the Costa Rican parties.

  • EY Law served as advisor in the transaction between Bamberger Polymers Corp. (Seller) –Plastiche (Buyer) in the thermoplastic market.The firm advised on the reorganizing and restructuring of Companies in order to align their interests and allow Majority Shareholder to henceforth implement its global production and distribution models. Parties of the restructuring companies Mendiola y Compañía, S.A., a sociedad anónima organized under the laws of Costa Rica, Tabacalera Costarricense, S.A., a sociedad anónima organized under the laws of Costa Rica, and Philip Morris Brands Sàrl, a Switzerland société à responsabilité limitée;
  • EY Law advised on the agreement among LBT Acquisitions, S. A., and Televisora de Costa Rica, S.A.The Buyer purchased from Seller the business divisions operating under the trademark Cabletica.

  • Legal advisors for the Sellers in the sale of a majority participation in a Pharmaceutical company;
  • Assisted in the purchase of the production operation of a Food Company, including properties, and premises;
  • Advised client on the Acquisition of a relevant national banana plantation;
  • Advised on the Acquisition of a Canadian private equity fund;
  • Advised a private equity fund based in New York in the sale of The Intrapac Group to ONCAP Capital; also acting as advisor for the Canadian Imperial Commerce Bank (as Bank syndication leader) in the implementation of actions and legal documents to include Costa Rican and Spanish collateral as part of the guaranty package;
  • Advised a leading global distribution and retail company in the premium and luxury automotive sectors, in the strategic purchase of another of the leading and most successful multi-brand automotive distributors in Central America, with a transaction value of USD $ 284 million. EY Law was a strategy advisor, participating during the stages of "due diligence", structuring and closing;
  • Advised Liberty Global in the acquisition of the operations of Cable Tica in Costa Rica;
  • Advised Inchcape PLC in the acquisition of vehicles dealerships in Costa Rica and Panama.

  • Currently advising an European Development Group in all matters pertaining to the development and construction of a high end five star resort in the Costa Rican North Pacific. Over US$250 million;
  • Advising a local client in a hospitality project in the Joint Venture Development of a high-end tenant hotel adjacent to the Rincon de La Vieja Reserve and Volcano. Over US$25 million;
  • Advising the client on structuring and executing a JV for the development and construction of a upper middle class residential project -under a Master development structure- in the east side of San José. Over US$50 million;
  • Advised a client in the sale of the north section of the Peninsula Papagayo Project in a multimillion dollar transaction;
  • Currently advising a Joint Venture partnership in the development of a real estate mixed use high end project including hospitality, commercial,  entertainment, residential and theme park components in Liberia, Guanacaste. Over US$ 500 million; 
  • Currently advising a Costa Rican real estate developer in the construction and development of a 800 unit mixed-use residential and commercial project in the north side of the city.  Over US$ 80 million;
  • Currently advising a Client in the development of a second phase in a major commercial retail mall that includes a 120 room hotel.  Over US$ 100 million.
