Guatemala´s Sovereign 2019 Eurobond Issuance - US$1,200,000,000.00

Consortium - Legal (Guatemala) acted as Local Counsel for the Sole Lead Manager and Bookrunner of the Notes issued by the Republic of Guatemala in the Luxembourg Stock Exchange. 

The issuance is the largest the Republic of Guatemala has ever allocated in domestic and international markets. The 2019 notes were issued in two tranches with a tenure of 10 and 30 years respectively. This is the first dual tranched issuance undertaken by the Republic of Guatemala.

Avianca Senior Secured Convertible Term Loan Agreement - US$250,000,000.00

Consortium Guatemala advised United and Kingsland in the review from a Guatemalan perspective of the Financing Documents as well as in the drafting and perfecting of the local collateral package with regards to the term loan granted to Avianca Holdings and its subsidiaries. 

The deal is innovative as it entails a complex loan structure which allows any of the Lender to voluntary convert its term loan into Avianca Holding Shares if certain conditions are met. 

The deal required the coordinated efforts of law firms in various jurisdictions in order to adequately review the NY governed documents and structure the corresponding local security packages.

GMG Financing - US$91,000,000.00

Consortium Legal advised Bladex in the term loan agreement granted to GMG Holding, S.A., GMG Servicios Costa Rica, S.A. and the other subsidiaries of GMG Holdings as co-borrowers. The deal is innovative as it entailed the refinancing of an existing loan granted by Bladex to the Borrowers.

Acquisition of 21st Century Fox

Disney acquired 21st Centruy Fox and operations globally.  The deal was a global transaction and the assets located in Guatemala required creative thinking on our behalf due to Real Property considerations.  

We acted as Guatemalan counsel in relation with the acquisition by Disney of 21st Century Fox, specifically with respect to the local aspect of such acquisition in Guatemala. This deal was complex because of the regulatory analysis required for the acquisition and the assets that 21st Century Fox had in Guatemala (only 21st Century Fox had a physical presence in Guatemala).

Acquisition of Sprectrum Brands

Consortium Legal is providing legal advice regarding post-closing process for the acquisition of Spectrum’s local operations in Guatemala, El Salvador, Honduras and Costa Rica. The Guatemala office coordinated this work with our other offices in Central America, which required a high follow-up and exact coordination due to the short terms provided. We acted as Guatemalan counsel of Energizer Holdings, Inc., of Spectrum Brands local operations in Guatemala, Honduras, El Salvador and Costa Rica. This deal was complex because of the multiple jurisdictions and the regulatory and environmental analysis required, in which we had to coordinate the work of the four Central American countries.
