Highlights  

CERHA HEMPEL Gerginov  acted as lead counsel for Semantic Web Company on the merger between the Bulgarian Ontotext and Austrian Semantic Web Company, forming the new company Graphwise. The team’s advice included full due diligence of Ontotext, the drafting of all transaction documents, and a cross border contribution of shares. The transaction is currently ongoing.  

The firm also advised Tennant Company, headquartered in Eden Prairie, Minnesota, in the acquisition of M&F Management and Financing GmbH. The Bulgarian team was led by partner Boyko Gerginov and involved all CEE offices of Cerha Hempel. The transaction closed in February 2024.
