Recent transactional highlights for Mergers & Acquisitions:

  • We are advising LeapFrog (local counsel) in connection with an indirect equity investment in Fidelity Bank Ghana Limited through certain existing shareholders.
  • We advised MTN Group in connection with the corporate restructuring of aYo Holdings Limited, the holding company of aYo Ghana Limited (a company registered in Ghana and licensed as an insurance intermediary).
  • Advised Ghana Infrastructure Investment Fund (GIIF) on a proposed additional equity investment with Spectrum Fibre Company Limited to finance a new cost lines for the completion of the Western Corridor Fibre Project.
  • We acted for Future Global Resources in connection with its acquisition of the entire issued shares of Bogoso Holdings, which held 90% interest in the Ghanaian mining company, FGR Bogoso Prestea Ltd.

  • We acted as Ghanaian counsel to Citibank N.A. in relation to a USD 500 million secured deposit transaction to the Bank of Ghana.
  • We advised African Trade Finance Limited in connection with a USD 105 million syndicated trade finance facility to CAL Bank to improve its ability in funding forex trading reserve.
  • We acted for Nederlandse Financierings-Maatschappij Voor Ontwikkelingslanden N.V in connection with a term loan facility of up to EUR 26,500,000 to Niche Cocoa Industry Limited, Niche Confectionery Limited, Niche Cocoa Sourcing Limited and Cocoa Tolling Services Limited.
  • We are advising GIIF in connection with a proposed debt financing to SAMA Holdings Limited for the construction of 2 hostels to provide sustainable and affordable hostel facilities to an aggregate of 4,750-bed tertiary students of the Cape Coast Technical University and Takoradi Technical University
  • We acted as Ghanaian legal counsel to Syndicate of Lenders in connection with the USD 1.3 billion receivables-backed trade finance facility from the syndicate of lenders to Ghana Cocoa Board for the purchase of cocoa beans in Ghana for the 2020/2021 crop season and the refinancing of purchases already made for the main crop season.
