Highlights
In a landmark capital market mandate, the firm advised Government of Indonesia, through Ministry of Finance, as Issuer, on the dual- tranche issuance of Retail Sukuk and Retail Sukuk. This deal marks the first time the Government has implemented a dual tranche scheme in the issuance of retail sukuk.
Another significant capital market mandate saw the firm advised Indonesia Infrastructure Finance on the issuance of 2023 Green Perpetual Notes that were publicly offered to the Qualified Institutional Investors. This pioneer deal was marked as the first ever public offering in Indonesia conducted in reliance with OJK new policy on Issuance and Requirements of Green Bonds and Sukuk since its enactment in October 2023.
On the M&A front, the firms assisted the merger between two state-owned enterprises (SOEs), namely Perum DAMRI and Perum PPD. The legal innovation in this deal lies in the unprecedented merger of Perusahaan Umum entities, Perum DAMRI and Perum PPD. This marks the first and only Perusahaan Umum merger transaction of its kind, presenting a distinctive legal challenge due to the absence of precedents.
