As head of Basham´s Corporate and Mergers and Acquisitions Areas, Daniel´s practice focuses on inbound foreign investment in Mexico, and outbound Mexico investment aboard. His work includes Corporate, Environmental, Mergers and Acquisitions, Foreign Investment, International Transactions, Real Estate, Banking and Securities and Cross Border Investments.

He continues to win instructions from clients on M&A transactions, recently acting as counsel to Chilean maritime logistics company SAAM acquire Dutch counterpart Boskalis’ stake in a joint venture for US$200 million.

Lecturer in different forums, including the International Bar Association on mergers and acquisitions, foreign investment in Mexico and pro-bono work.

  • Aon sells Mexican assets to Spencer Stuart: He has helped the Irish subsidiary of professional services company Spencer Stuart acquire the Mexican assets of consulting company Aon for US$45 million. The deal was signed on 3 July, 2019.
  • SAAM buys out Boskalis in tugging venture: He has helped Chilean maritime logistics company SAAM acquire Dutch counterpart Boskalis’ stake in a joint venture for US$200 million. The deal closed on 8 May. SAAM will acquire 49% of the business in Mexico, Panama and Canada and 50% in Brazil through the deal.
  • KTRI Holdings Inc.’s Acquisition of $27.3 Million Federal-Mogul Motorparts LLC Assets: He has helped in reviewing the Stock and Asset Purchase Agreement and the closing documents in regard of the Mexican part of the business that was going to be transferred. The transaction involved the following jurisdictions: Mexico, Italy, China, Brazil, Belgium, Romania, Netherlands, and US.
  • MarketStar Corporation – USD 65 million: Assistance and legal advice to the DAS Group of Companies, a division of Omnicom Group, Inc. (OMC) and MarketStar Corporation and its Mexican subsidiary known as All Channel Sale Solutions, S. de R.L. de C.V., the advice consisted of (i) review Asset Purchase Agreement; (ii) draft, review and negotiate Local Equity Purchase Agreement; (iii) draft, review and negotiate local closing documents related to the closing in Mexico.  This matter was important because the acquisition pairs MarketStar with a multi-billion-dollar Utah-based company. In addition, this matter was important since the structure of the transaction was: (i) stock purchase in Mexico and (ii) asset sale in Canada and Mexico. Moreover, the transfer of liability, third party contractual consent requirements, tax consequences and indemnifications all were regulated in the global asset structure pursuant to US law.
  • Grupo Pozo Blanco and Gruopo Prestige Worldwide, S.A.: On April 8, 2019 Grupo Prestige Worldwide enter into a Stock Purchase Agreement with Arancia, S.A. de C.V. (“Arancia”) for the sale and purchase of shares of PFS de Mexico, S.A.P.I. de C.V. (the “Company”). advice consisted of (i) review the Stock Purchase Agreement; (ii) review and negotiate the Amended and Restated Shareholders’ Agreement; (iii) draft, review andnegotiate local closing documents related to the stock purchase and amendment of current by-laws of the Company.
