Takashi Itokawa is a partner at Nagashima Ohno & Tsunematsu. His practice focuses on finance transactions and relevant regulatory matters, especially securities offerings by various issuers, including J-REITs, M&A finance, securitization, and structured finance. In addition, he also has extensive experience with real estate and M&A transactions, and regularly handles cross-border transactions for both Japanese and foreign clients. His experience includes representing sponsors and listed companies in various finance transactions, such as private placement of common stock by listed companies, issuance of preferred stock and loans with stock acquisition rights, and debt equity swap transactions.

In particular, in the field of real estate, he has provided extensive advice based on his experience working for a major Japanese real estate developer. He has been responsible for provision of legal analysis with respect to all forms of transactions/conduct of real estate-related companies, including M&A transactions, domestic and international issuance of securities, such as bonds and shares, formation of listed REITs (J-REITs), private REITs, and private funds, as well as their fund raising and management. He also provides legal advice on CRE strategies (corporate real estate strategies) and redevelopment projects, ESG (environmental, social, and governance) issues, legal risk analysis for every asset class, including logistics facilities and data centers, and real estate finance contract negotiations.

In addition, he has provided legal advice on private equity and unlisted stocks. In the field of private equity and unlisted stock investment, he has provided advice on the formation and management of various types of funds, including partnership-type funds, M&A by private equity funds and related acquisition finance transactions (senior finance and mezzanine finance), as well as providing ongoing advice and exit strategies after acquisitions.

He would like to contribute to sports and/or the e-sports ecosystem in the near future from a legal perspective.

  • Among his peers, he has significant experience in dealing with J-REIT-related matters. He acted as lead counsel in several J-REIT IPOs. He has also been involved in several J-REIT amicable merger deals. He was involved in J-REIT anti-takeover defense cases in Japan as the defense lawyer.
