Jonathan is a partner in Dentons Rodyk’s Finance practice group and Co-Head of the Energy practice and the Vietnam desk.

He has handled various complex cross-border transactions in emerging markets, successfully seeing multiple projects from inception to commercial operation, and is well versed to manage the unique challenges in such markets. Projects undertaken include hydroelectric power, solar power, wind power, gas and coal fired power plants and other infrastructure projects in Asia such as Bangladesh, Myanmar, Thailand, Indonesia, Vietnam, Cambodia, India and China. He has experience in advising on the development of Projects from inception and drafting the various related documents such as consortium agreements, sale and purchase agreements (SPAs), shareholders’ agreements (SHAs), engineering, procurement and construction contracts (EPCs), fuel supply, operations and maintenance contracts (O&M), power purchase agreements (PPAs), build, operate and transfer contracts (BOT) and their related financing documents.

His experience in finance and commercial work encompasses a wide range of transactions including acquisition financing, project financing, bilateral and syndicated lending, asset-backed financing, ISDA transactions and trade financing, as well as pre-export financing and has handled numerous transactions involving mergers, takeovers and joint ventures, and has acted for vendors, purchasers and financiers.

  • Acting for a Chinese state-owned EPC contractor in its US$2.3 billion acquisition of 45% stakeholding in a Vietnamese project company to develop a 2 x 660 MW coalfired thermal power facility in Vietnam including advising on the build-operate-transfer agreement, power purchase agreement, coal supply agreement, EPC contract and related bonds and guarantees and undertaking the due diligence, negotiation and drafting of the acquisition documents.
  • Acting for an Indonesia based energy company in the purchase of a US$220 million, 2 X 90 MW turnkey hydro-electric power plant in Indonesia (Sumatra), advising on the Chinese SOE investor’s investment in the project company and the procurement of financing.
  • Acting for a Chinese state-owned EPC Contractor in its US$137 million acquisition of 51% stakeholding in an Indonesian mining group which holds multiple coal mining concessions in Indonesia and involves the construction and operation of closed pit coal mines in Indonesia.
  • Acting for a Myanmar real estate company in its joint venture with a Singapore listed group for the construction, development, operation and management of a hotel situated in the prime city centre of Yangon, Myanmar.
  • Acting for a Chinese SOR as EPC Contractor for the design and construction of a toll road located in Surabaya, Indonesia with a project value of US$1.5 billion.
