  • Representation of Catalyst Partners in connection with the establishment of Egypt's first Special Purpose Acquisition of Company "SPAC". Established with an issued and paid-up capital of approximately EGP 10 million.
  • Representation of Tasaheel Microfinance in connection with Egypt's first-of-a-kind sustainable bond issuance. It serves to support funding impoverished and marginalized segments in accordance with the principles of the International Capital Market Association. Transaction value amounted to EGP 3.806 billion.
  • Representation of Beltone Financial Holding in connection with a capital increase from EGP 926 million to EGP 10.9 billion. Marking the largest capital increase in the history of the Egyptian Stock Exchange.
  • Representation of Halan in connection with its two securitization transactions amounting to EGP 2.790 billion.
  • Representation of National Paints Holding Limited in connection with a mandatory tender offer of 81% acquisition of the total share capital of Paints and Chemical Industries – Pachin S.A.E. Transaction value: EGP 770,456,877.
  • Representation of TCI Sanmar in connection with the private placement of the company’s Non-Convertible Debentures (“NCDs”) to nine foreign banks through the conversion of 15% of the total debt of TCI Sanmar into a number of 2,353,967 NCDs amounting to USD 117,698,350.   • Representation of TSFE Infrastructure & Utilities Sub Fund in connection with the negotiation of green energy framework agreements to develop renewable energy power plants, green hydrogen, green ammonia manufacturing and storage tanks , and other facilities. Project value USD 83 billion.
  • Representation of Arab African International Bank in connection with their EGP 3.5 billion medium-term facility contract with Tatweer Misr.
  • Representation of Hassan Allam Construction and other affiliates in connection with a USD 200 million facility granted by Afreximbank.
  • Representation of Deutsche Bahn International operations GmBH "Deutsche Bahn" and Elsewedy Electric in connection with the operation and maintenance agreement signed with the National Authority for Tunnels (“NAT”) for Egypt’s first electric high-speed rail for 15 years.   • Representation of more than 15 clients in connection with the Feed-in-Tarif Programme throughout rounds 1 and 2.
  • Representation of the Export Development Bank of Egypt acting as the initial lead arranger and issuing bank in syndication with the NBK Egypt, The United Bank of Egypt, Misr Iran Development Bank, the Suez Canal Bank, and the Housing and Development Bank (HD Bank) in connection with an EGP 2 billion facility agreement granted to Abd El Salam El Feky & Partners.
  • Representation of AD Ports Group in connection with the with drafting and negotiating a head-of-terms agreement for the development, management, and operation of new cruise terminals, a multipurpose terminal across multiple strategic locations within Egypt.
  • Representation of the Egyptian Ministry of Finance in connection with one of the largest bonds’ issuances to restructure and finance the general budget and meet the market's demand. Bonds were listed on the Luxembourg Stock Exchange. Transaction value: USD 4 billion.

Iv). Dispute Resolution

  • Representation of a sovereign state in setting aside a CRCICA arbitral award worth nearly USD 1.5 billion before the Cairo Court of Appeal. The dispute concerned an urban development agreement between the State and an urban developer for developing a new city in that State, where we were entrusted with handling the nullification lawsuit.
  • Representation of Nogoom Football Club in connection with defending an EGP 47 million award from the Court of Arbitration "CAS" against Ismaili Sporting Club and the Egyptian Football Association in an annulment case filed by the ISC before the Cairo Court of Appeal.
  • Representation of Misr Beni Suef Cement Co in connection with securing an EGP 195 million favorable settlement
  • Representation of Reliance Heavy Industries in a construction dispute registered with CRCICA valued at around USD 50 million arising out of an agreement for Technical Management, Operation, and Maintenance Integrated Services of a cement plant.
  • Representation of a major American entertainment company in connection with a complex debt recovery claim leading to a successful multi-million US Dollar recovery involving, inter alia, a groundbreaking trademark enforcement action against the debtor company. This case is a watershed case for enforcement against intellectual property rights in Egypt as it marks the first successful enforcement against a trademark and tradename in the Egyptian market.
  • Representation of Ora Developers Egypt for Real Estate Investment S.A.E. in a tax dispute with an amount of EGP 74 million before the Disputes Resolution Committee of the Egyptian Tax Authority.
  • Representation of Precor - a manufacturer of fitness equipment headquartered in Washington, USA - in connection with a multi-million Dollar litigation relating to a commercial agency/distribution dispute. We successfully blocked financial claims made by the agent/distributor before the relevant Egyptian courts.
  • Representation of a leading distributor of several global medical and pharmaceutical giants in the Middle East, in an arbitration case filed against a worldwide pharmaceutical company and its branch in the Middle East under the DIAC Rules, seated in Dubai and governed by German laws.
  • Representation of Chengdu Design & Research Institute (CDI) against South Valley Cement Company (SVCC) in a dispute arising out of an EPC Contract for Clinker Grinding and Packaging Department for a cement plant owned by SVCC. The tribunal awarded CDI a sum of USD 7,306,598, Euro 1,053,065, and EGP 22,437,654.
  • Representation of ArcelorMittal in the prosecution and subsequent amicable settlement of a USD 600 Million investment dispute in proceedings registered with ICSID against the Arab Republic of Egypt.
  • Representation of Union Fenosa Gas in connection with Egyptian law issues concerning a multi-billion dollar claim against an Egyptian state entity for its failure to perform its contractual obligations under a Natural Gas Sale and Purchase Agreement signed between them. The value of the claim was over USD 2 billion.
