Brazilian firm Vella Pugliese Buosi & Guidoni Advogados has hired Gabriella Maranesi Najjar as an M&A partner. Maranesi Najjar also works on capital markets and banking transactions and has experience in the infrastructure sector. She previously worked at Tauil & Chequer.
Both Tauil & Chequer and Vella Pugliese have unique relationships with global firms. Tauil & Chequer has an association with global firm Mayer Brown, and Vella Pugliese has a strategic alliance with global firm Dentons. Since global firms aren’t allowed to practice local Brazilian law, a few have chosen to partner with local firms in the market through alliances and associations. Maranesi Najjar said that a relationship of this nature was important to her. “I value very much not only the experience of working with an international platform, but also the opportunity to offer global reach solutions to clients, which adds great value to our services,” she said.
In an email correspondence with IFLR1000, Maranesi Najjar further explained her decision to join the firm. “VPBG continues to grow, increase market share and deal flow in high speed, building very good opportunities for new additions,” she said. “I believe my experience with cross border transactions and with the business model of a global platform was a perfect match with the firm’s current cycle, and I will also benefit from joining a very sophisticated team and working alongside leading M&A experts, such as Rodrigo Vella and Fred Buosi.”
Maranesi Najjar said she expects an increase in M&A deal flow in the Brazilian market, particularly for cross border transactions. “A positive economic outlook following the elections is likely to drive the M&A market away from predominantly scandal-driven asset sales to long term investment,” she said. “My move is aligned with the positive economic cycle we are anticipating.”
She added that the role of public companies in M&A makes the capital markets practice especially important. “Our goal is both bolstering the M&A practice and making the capital markets practice as well-known in the market as our M&A practice is today.”
Dentons, in addition to forming its alliance with Vella Pugliese, has been rapidly expanding into Latin America and opening offices in new countries. A recent move saw the firm’s Central American leg (Dentons Muñoz) open an office in Nicaragua. Additionally, recent years also saw the firm announce a combination with Larraín Rencoret Urzúa in Chile and combine with local firms in Peru, Mexico and Colombia.
