Over the past year Ibrachy & Partners enjoyed a significant boost in its team with the recruitment of Sara Hinton, former lead local partner for Trowers & Hamlins, and Tarek El-Gazzar, founding partner of the Cairo office of Cobbetts International. The two partners were accompanied by Mai Elshaarawy (Trowers & Hamlins) and Ahmed Agamy (Nour & Taha). The office now consists of five partners supported by eight associates and of counsel. 

The firm continued to secure mandates on some of the market’s most important transactions for both M&A and banking and finance work. The team completed the Egyptian corporate restructuring of a large global business headquartered in the US. The work was part of a Middle East restructuring and included a new partnership. 

The team also worked with Clifford Chance to assist private equity firm Actis on its $102 million investment into Edita Food Industries from two major shareholders. The investment amounted to a 30% acquisition. 

On the finance side the team acted for the Arab African International Bank (AAIB) on a number of deals, including an $86 million medium term facility to Arab Company for Projects & Urban Development to part fund the construction of a new urban development (Madinaty) and a $43 million loan to Alexandria Construction Company. The team was also working on a confidential project for a leading Egyptian company on a high value put option monetisation.

Zulficar & Partners holds its Tier 1 position across the board and remains one of the most prestigious law firms in Egypt under founding partner Mona Zulficar, a doyen of the market. The other key partners are Firas El Samad, Mohamed Abdel Wahab, Ashraf Ihab, Ingy Badawy and Anwar Zeidan.

Examples of work include advising private equity firm Abraaj Group on its E£202 million (€22 million) acquisition of Cairo Medical Center, a company listed on the Egyptian Stock Exchange (EGX). The deal was structured as a mandatory tender offer on up to 100% of the company's shares and completed in July 2014. 

In an equity capital markets case, the firm acted for EGX-listed real estate developer SODIC on its E£1 billion capital increase. The office also represented SODIC in a high value litigation and arbitration.

In a high value financing, the team represented The Egyptian Company for Mobile Services (MobiNil) on an E£815 million two-tranche syndicated medium term loan facility to finance the repayment of bonds due in January 2015 and to fund capital, operating and corporate expenditure. The lenders included the National Bank of Egypt, the Industrial Development and Workers Bank, the Egyptian Gulf Bank and Blom Bank Egypt. 

As the improved rankings reflect, Shalakany Law Office continues to advance and had some involvment in many of Egypt’s flagship deals of the last 12 months. There was no lateral hires at any level, and the team remains consistent with last year. 

One client in the finance industry said that the firm “have proven to be competent, timely and switched on”, and describes senior partner Aly Shalakany as a “superb lawyer”, whose “capabilities, knowledge and reach are phenomenal.” The firm are Egypt’s member of the networks Lex Mundi and Meritas, and have a tradition of working on cross border mandates with a host of global firms.

Despite a challenging year for financing in the jurisdiction the firm was active in the banking sector, advising both lenders and borrowers on a number of interesting transactions. The majority of the firm’s work remains confidential, but highlight clients include Citibank, Agence Française de Développement and RBS. 

A healthy year in the capital markets has propelled the firm up a tier, with activity on some of the most prominent debt and equity deals of the year. On the debt side the firm acted alongside Linklaters as local legal counsel for a syndicate of banks as underwriters on the issuance of $500 million in EMTN notes by African Export-Import Bank, as part of a wider $3 billion issuance. Also active on the equity side, the firm has been involved in a number of IPOs that remain confidential. 

The firm acted as local council on some large scale cross border M&A deals, one highlight saw the firm acting for Vimpelcom subsidiary Global Telecom Holding on the $2.6 billion sale of 51% of Algerian mobile operator Orascom Telecom Algérie, to the Fonds National d’Investissement. Historically, this was one of the largest M&A deals in both Egypt and Algeria. 

Also active in the area of project finance, the firm is working on some innovative projects in the energy and infrastructure sectors, with particular activity in solar and wind power. The firm are advising Enel Green Power on the proposed redevelopment of a 250MW wind farm, the first IPP for over 10 years, as well as First Solar in the development of a 50MW solar project. In addition the firm is actively involved in the New Capital Project, a government proposal to shift the population of Egypt away from Cairo by building a custom built city 40km away.

Despite its comparatively young age on the Egyptian market, the firm retains its top tier status for a further year after impressive mandates and continuing peer and client approval across the board.

In the first half of 2015 the firm hired ex World Bank employee Ghada Youness, and former Ibrachy & Dermarkar partner Tamima Yehia who was head of in house council at Nakhla Tobacco Company, as council to further strengthen the team. 

In the banking sector the firm acted on some of the major transactions in the jurisdiction. Key highlights include acting for the National Bank of Egypt on its EGP1.7 billion ($217 million) long term facility agreement that would allow steel producer Ezz Steel to restructure its debts. Another significant deal saw founding partner Mona Zulficar act for Qatar National Bank Al Ahli as lead local council in the $605 million and EGP1.15 billion restructuring agreement of Egyptian Fertilizers Company. 

In the capital markets the firm represented EPG Hermes and JPMorgan in their role as underwriters for both Emaar Misr’s EGP2 billion IPO on the Egyptian stock market, the biggest IPO since 2007, and its subsequent public offering of ordinary shares.

The corporate and M&A practice at Zulficar is divided between the pure M&A department and the capital markets department, both of which are recognised market leaders. The M&A market in Egypt has picked up over the last few years and as a result the firm are seeing a large number of mandates coming through the doors. One particularly noteworthy deal saw Youssef El Saman and Malak Elshishiny advise American multinational food manufacturing company Kellogg’s as they sought to enter the Egyptian market through the acquisition of 85.9% of Egyptian Food Company BiscoMisr. The American cereal brand was involved in a bidding war with private equity firm Abraaj Group, and eventually ended up paying over a billion Egyptian pounds for the company with a competitive mandatory tender offer (MTO). This transaction was the first time that two corporations had actively opposed each other in the jurisdiction by offering counter MTOs to gain shares in the company, and showcased the firm’s impressive capacity. 

Khodeir Nour & Taha took on its current name in April 2015 when Egyptian independent Nour & Taha formed an operational association with Middle Eastern firm Al Tamimi & Co. To date the practice has only been active on corporate matters, but in July 2015 the firm hired Bassam Moussa to head up the banking and finance team. Moussa relocated from Shalakany Law Office where he was a senior associate. 

A client from the industrial sector who worked with the firm says: “Very responsive, top quality advice. In the corporate space highlights include work for a local TMT company on the sale of part of its portfolio to an infrastructure company based in Egypt.

Al Kamel sit among the top firms in Egypt and often find themselves working with the likes of Slaughter and May and Mayer Brown, as well as many significant international financial institutions and corporations like the IFC. Known for its work in M&A, the team is also prominent in all other areas of financial and corporate law including banking and finance, capital markets and projects. 

A client, a board member of the target corporate in a recent M&A transaction, says that the firm has a “strong technical capability, many years of experience in international M&A and in the Egyptian market for all aspects of legal, financial, tax and regulatory law”. Banking and finance highlights include working for the Export–Import Bank of the United States and UK Export Finance on an anticipated $7 billion project financing for a petrochemical project. Elsewhere the team acted for Palm Hills Development as it secured a E£2.4 billion syndicated loan from a number of banks. 

In M&A one highlight transaction saw the team work with Egyptian food company Kamal Haggag on the purchase of 100% of the shares of Misr October for Food Industries from Gozour, a subsidiary of Qalaa Holdings. 

Ibrachy & Partners is a well-established firm in the Egyptian market and is best known for its work in banking and finance, but is also active in projects and corporate work. Notable practice areas include both conventional and Islamic finance and syndicated lending, both on the domestic scene and in cross-border multi-jurisdictional work. In projects the team is most active in PPPs (public-private partnerships). 

The firm hired a new managing associate, Bassem Abdelrahman, from Tahoun Law Office in January 2016, but this year also lost one of its founding associates, Soheir Elbanna.

In projects the team acted for the Ministry of Finance in connection with all aspects of the design and construction of a secondary treatment stage for the Abu Rawash Wastewater Treatment Plant.
