In terms of track record the firm continues to land some of the market's biggest mandates and get steady workflow as local counsel to international law firms. For instance working with White & Case and Akin Gump to advise Orascom Telecom Holdings on the hostile takeover bid launched by Baskindale and valued at $3.7 billion.

There have been staffing changes to report with both M&A partner Hossam Omar and capital markets focused Motaz El Dreny leaving the firm. The latter has gone on to form El-Berry & Dreny Law Firm.

The other highlight deal saw the firm advise OCI, alongside Allen & Overy and Debevoise Plimpton, on its $9 billion public offer to acquire Orascom Construction Industries.

Zaki Hashem & Partners is one the biggest and longest running leading corporate finance firms in the country. The team is especially well placed in financing or corporate matters related to M&A.

A highlight example of 2012-13 saw the firm, led by managing partner Yasser Hashem, advise the lenders on the $9 billion exchange offer by Dutch listed company OCI to acquire the outstanding capital of Orascom Construction Industries.

The firm also acted for Al Nahkla for Tobacco on its sale of shares to Japan Tobacco International for a value of $200 million.

Ibrachy & Partners had a strong 12 months and handled some impressive transactions in the M&A and project finance fields. In June 2013 the firm also bolstered its team with the recruitment of Cobbetts International Cairo managing partner Tarek El-Gazzar, who specialises in banking and finance and also handles corporate and equity transactions.

The firm made an early drive into Islamic finance, led by Tarek Gadallah and although prospects have now cooled a bit in this field the team is now well placed to advise on Islamic compliant transactions.

One of the firm's highlight deals in 2013 had Gadallah advising the sponsor on financing worth $370 million from syndicated lenders for the first ever health care public-private partnership (PPP) with the Egyptian government. The transaction comprises two hospitals.

The firm has been active in the private equity space and on the corporate front one of its highlights saw Ashraf Elibrachy work with Linklaters to advise Piraeus Bank in the run up to its finally abandoned sale of its Egyptian subsidiary in favour of a restructuring. Elibrachy also acted for Vimpelcom, Orascom Telecom Holding's (OTH) main shareholder, on the tender offer for 100% of OTH.

Ibrachy & Dermarkar is led by senior partner Bahieldin El Ibrachy and a team of four partners. the key corporate commercial partners include Hegazy El Wakil and Mohamed Ramadan, who specialises in banking and finance and joined the firm in 2013.

Ramadan was a former senior associate at DLA Piper Cairo (Matouk Bassiouny) and has a wealth of experience in international firms. He is also New York Bar qualified.

Nadoury & Nahas Law Offices has a strong contentious and litigation practice especially, although it also handles commercial transactions. Clients of the firm include UPS Atlanta, Soros Fund Management and US based Allfirst Bank. The key partners at the firm are Ashraf Nadoury and El Sayed El Nahas.
Sharkawy & Sahan has been on the ascendency in the market of the past years and despite the unpredictable conditions has maintained a strong reputation.

"Very responsive indeed," says a client for corporate and capital markets advice, "including on Fridays which is the start of the weekend in Egypt. [The] team is dedicated and with enough depth to cover intensive demands from clients".

The firm is active in the debt markets and claims some of the biggest M&A transactions of the year. For instance, the firm worked with Allen & Overy to advise Société Générale on the sale of its entire stake in its listed Egyptian subsidiary NSGB to Qatar National Bank for $2.5 billion.

In another of the biggest M&A deals in the market the firm again worked with A&O to assist BNP Paribas on the sale of its stake in BNP Paribas Egypt and BNP Paribas for Finance Leasing in Egypt to Emirate NBD for $450 million.

The firm has been focussing on the big-ticket transactions as a matter of strategy and has a secondment programme with Allen & Overy.

Led by corporate and finance lead partners Ahmed Sharkawy, Karim Sarhan and Amr Abbas, the finance practice won significant lending mandates from client including Sumitomo Mitsui Banking Corporation, Arab Bank and a syndicate of Egyptian banks. The team is also well placed to advise on Islamic finance.

Matouk Bassiouny is the Egypt member of the DLA Piper Group. According to one client, referring to the firm's international service approach, "it is a new breed of firm in Cairo, they are innovative and hungry".

The firm is led by John Matouk and Omar Bassiouny, who both have strong corporate practices and Mahmoud Bassiouny, who focuses on banking and finance. Other key partners are Mohamed Gabr, a capital markets and corporate specialist, and capital markets head Mohamed Abdel fattah.

Zulficar & Partners is a well-established top tier firm across the board. The team is led by Mona Zulficar, who is supported by a team of seven partners covering the whole corporate finance spectrum.

Recent headline deals saw the firm act for Altimo Holdings, the owner of Baskindale, on the latter's tender offer for 100% of the shares in Orascom Telecom Holdings (OTH) for a value of $1.77 billion. The tender offer was launched in April 2013 and was one of the largest ever submitted tender offers in Egypt. The firm acted as local counsel with Skadden Arps Slate Meagher & Flom in the lead.

On the finance side, one deal saw the firm advise the lenders on the refinancing of the $600 million debt of Suez Steel plus a further new financing of $100 million to finance its steel operations.

Al Kamel Law focuses on corporate and banking and finance under Rasheed Kamel and Mohamed Kamel, respectively. They are supported by corporate partner Mahmoud Wahba and banking partner Tamim Foda.
