Mr. Baloch is counsel in Davis Polk’s Corporate Department, practicing in the Derivatives and Structured Products Group. He practices in the areas of international capital markets and U.S. securities laws, and regularly represents global financial institutions and major corporates. He assists domestic and international clients in executing a spectrum of complex financial products and transactions, including:

  • High-yield and investment-grade debt securities
  • SEC-registered IPOs and other public and private equity offerings
  • Hybrid securities such as convertible and exchangeable bonds, and perpetual and regulatory capital securities
  • Structured products, including synthetic exchangeable securities and other equity, commodity, currency, credit-linked and hedge fund-linked products
  • Securitization and structured finance matters, including true sale and synthetic transactions, Islamic finance, commercial and residential mortgages, and consumer finance
  • Medium-term note programs and SEC shelf offerings
  • Debt restructurings, including exchange offers, tender offers and consent solicitations.

Mr. Baloch also has deep experience in numerous industries, including energy and natural resources, mining, telecom and technology, financial institutions, online gaming, e-commerce, fintech and real estate.  

He offers clients the benefit of his wide-ranging international experience. Qualified in New York, England and Wales, and Hong Kong, he has executed transactions in and across jurisdictions in Asia (China, India, Indonesia, Malaysia, Mongolia, Singapore, Thailand, Vietnam), Europe and the U.S.

Mr. Baloch worked in Davis Polk’s New York office from 2007 to 2010. Before joining Davis Polk, he worked in the London office of a Magic Circle law firm.
