Banking
The firm acted as advisor in the purchase of a company provider of outsourcing services specialized in mortgage management procedures and registry verification in Spain, Portugal and Latin America, by a global technology investment company.
This was an important deal due to the implications in the Mexican jurisdiction derived from recent amendments to Mexican Labour Law. Mexico was one of the most relevant jurisdictions for the activities of the company purchased.
Corporate and M&A
Represented a leading distributor of specialty chemicals and ingredients (our client, as buyer) in a stock deal for the acquisition of 100% shares of a Mexican company engaged in the business of blending, sales, marketing and distribution of chemical products, additives and ingredients into the Personal and Home Care, HI&I (Household, Industrial & Institutional), Agrochemicals, Animal Health, Pharmaceutical, Water Treatment and Oil, Gas & Energy Industrial Markets and other industrial markets substantially in Mexico. Sanchez Devanny led the transaction and assisted the client in all aspects, from due diligence, negotiations, transitional labor and tax advise for post-closing integration, to actual closing.
Regulatory Compliance
The tobacco industry has been greatly attacked under the current administration. Some of the permits and authorizations required for their operation are more complex and additional information and requirements must be met. In order to avoid potential issues regarding improper payments and potential interpretations of issuance of permits and authorizations it is necessary to implement internal procedures to verify that no risks exist regarding the potential noncompliance with applicable requirements to obtain these authorizations. We have advised One of the largest Tobacco and related products companies worldwide in connection with the implementation of internal procedures and locks to avoid possible interpretations of noncompliance as well as review and determination of the scope of requirements that must be met for the issuance of the necessary permits and authorizations.
Intellectual Property
Advisory to the largest consumer products manufacturer on use of trademarks in several health related goods, considering intellectual property and regulatory angles.
Labor and Employment
We assisted one of the largest car manufacturers worldwide by advising on the inter-union conflict, where a union (CATEM) is challenging the current union (CTM) holding the collective bargaining agreement with the client in its manufacturing plants in Mexico, regarding the representation of 12,000 workers. We have successfully advised the client to maintain operations without disruption during the conflict between the unions, as well as in its compliance with labor obligations under the United States, Mexico, Canada Free Trade Agreement (USMCA) and its Rapid Response Labor Mechanism, to avoid commercial sanctions under the treaty. We are currently representing the client before Mexico´s Supreme Court of Justice, following an appeal for a potential unconstitutional provision in Federal law, dealing with employee voting process.
