  • Advised Hewlett-Packard Group (as its PRC legal counsel and global counsel respectively, working together with Paul, Weiss, Rifkind, Wharton & Garrison LLP represented Hewlett-Packard Group) on its acquisition of the global printing business sector of Samsung Electronics with the consideration of 1.05 billion US dollars;
  • Represented CAL Financial Leasing Company Limited (“CAL”) and Huatai Securities (Shanghai) Asset Management Co., Ltd. to successfully issue the China’s first foreign currency-denominated asset-backed special plan and the first aircraft leasing asset-backed special plan successfully in Shanghai Stock Exchange. It is a major financial innovation and a milestone in the development of asset-backed securitization;
  • Represented Chervon Group and provided full-spectrum legal service for its acquisition of the global brands and business of SKIL, an affiliated company of Bosch;
  • Advised Golden Brick Capital on its participation of the Going-Private Transaction of Qihoo 360 Technology Co. Ltd (approximately 9.2 billion USD);
  • Represented Fenbushi Capital on the closing of the US$ 72 million Series D financing of Circle. Being the largest venture round in the chain industry worldwide since the beginning of 2016, the financing was led by IDG and followed by such known institutional investors as Breyer Capital, Baidu, CICC Alpha, Everbright;
  • Provided legal service to Wanxiang Holdings and Fenbushi Capital announcing an investment of RMB 150 million on a block chain start-up company, which is so far the largest Series-A investment in the block chain industry countrywide;
  • Provided legal services to the Palace Museum on the large celadon exhibition “Longquan of the World: Longquan Celadon and Globalization”.  For the purpose of better presenting the great achievement of ancient ceramic art, the Palace Museum borrowed the exhibits from some of the top museums in the world, including British Museum, Victoria Albert Museum, Tokyo National Museum, Iran Bastan Museum by entering into the related exhibition agreements.
  • Represented the existing shareholders of Dr. Panda in connection with sale of the entire shares to TAL. The transaction amount reaches 30 million USD. This project includes multiple group companies of Dr. Panda, including offshore companies and PRC operation companies. All these companies are transferred to the investor in different phases.
  • Represented Stratacache Limited, an American digital technology company, in its acquisition of all the assets of Ningbo Plus and Popscreens Electronic Technology Co., Ltd., including production lines, intellectual property rights and employees, through a new entity. The transaction amount exceeds US$4 million. As the Chinese legal counsel of Stratacache Limited, Broad & Bright assisted its American legal counsel in providing comprehensive legal services and advice on due diligence, review of transaction documents and closing.  After the completion of this transaction, Stratacache Limited will develop, produce and manufacture advertising machines, touch computers and digital media products in China.
  • Represented Apollo Trading Corporation to sell 75% of its equity interest of Apollo Environmental Equipment Co., Ltd. in Shunde District of Foshan City (“Shunde Company”) to Freudenberg & Co. KG.  The transaction amount exceeds 1.2 billion. After this transaction, Freudenberg & Co. KG intends to transfer part of its domestic filter business in China to the Shunde Company. After the completion of this transaction, Shunde Company will specialize in R&D and production of air purification and filtration products in China on behalf of Apollo Trading Corporation and Freudenberg & Co. KG. As Chinese legal counsel of Apollo Trading Corporation, Broad & Bright, in collaboration with the Japanese legal counsel, provided PRC-related legal services and advice on the above-mentioned transactions, including cooperation in due diligence, review and negotiation of transaction documents, cooperation in anti-monopoly declarations and etc.
  • Xilinx, Inc. acquired all shares of Deephi Technology Co., Ltd. As Xilinx's Chinese legal counsel, Broad & Bright, in collaboration with its global legal counsel, provided PRC related legal services and consultation on the national security review of foreign investors' M&A of domestic enterprises, which may be involved in this transaction, and provided advice on facilitating the transaction on the premise of ensuring full compliance.
  • Provided Legal Services for PPP Project of Dongguan Rail Transit Line 1. The commencement ceremony for the PPP project of Dongguan Rail Transit Line 1 (“Project”) was held in Dongguan. The utility and infrastructure legal service team of Broad & Bright Guangzhou Office (“Broad & Bright”) provided legal service for this Project.  The consortium constituted by Dongguan Development Holding Co., Ltd., China Railway Co., Ltd., China Railway Construction Co., Ltd., Guangdong Construction Engineering Group Co., Ltd. and other entities ("consortium") won the bid and became the social investor of this Project. Subsequently, the Consortium and government-funded representatives will jointly establish a project company to be responsible for the investment, construction and operation of this Project. The line length of the Project is 58 km, starting from Wanghong Station and ending at Huangjiang Central Station. There are 21 stations on the whole line, with a total investment of 32.939 billion RMB. Internally, this Project connects Shuixiang area, central city area, Songshan Lake area and Southeast area of Dongguan in series; externally, this Project connects Guangzhou in the north and Shenzhen in the south, with transfer stations on the Guangguan-Dongguan-Shenzhen Intercity Line and Dongguan-Guangzhou Intercity Line, which is a truthful backbone line.
  • Provided Legal Services for PPP Project of the “Automobile+” Industry and City Fusion Demonstration Zone of Wuhan Development District. The signing ceremony of the PPP project of the “Automobile+” Industry and City Fusion Demonstration Zone of Wuhan Development District (“Project”) was held in Wuhan Development District. The utilities and infrastructure legal service team of Broad & Bright Guangzhou Office (“Broad & Bright”) provides legal services for this Project.  On the ceremony, the Bureau of Culture, Sports, Press, Publication, Broadcasting and Television of Wuhan Economic and Technological Development Zone (Hannan District), the executing institution of the Project, and the social capital parties China Construction Second Engineering Bureau Co., Ltd., Wuhan Real Estate Development Investment Group Co., Ltd., and China Construction Investment Fund Management (Beijing) Co., Ltd. signed “the Contract of PPP project of the “Automobile+” Industry and City Fusion Demonstration Zone of Wuhan Development District”. The Project is a comprehensive urban development PPP project of "integration and merger of production and city", which has a planned total area of 51.25 square kilometers, a total 8.004 billion investment amount, and a cooperative term of 20 years. The Project will build a world-class automobile-led industrial cluster, and establish a demonstration zone of industrial integration with high concentration, advanced urban functions and beautiful ecological environment.
