Olam International $275 million acquisition of Amber Foods

Overview:

• Olam International acquired equity in two BUA Group companies, BUA Pasta and BUA Flour, for a value of $275 million.
• Amber Foods previously owned the two BUA companies.
• This is a restructuring and asset sale of BUA Flour Mills and BUA Pasta to a Nigerian SPV.
• Certain equity of the two BUA companies was transferred between the Nigerian SPV and a Cayman Islands registered entity, followed by an equity diverment to Olam.
