Overview:

  • SJL Partners, KCC Corporation and Wonik have reached an agreement to acquire Momentive, a US based silicone and quartz products manufacturer, for $3.1 billion.
  • SJL will acquire a 50% stake. KCC and Wonik will own of 45% and 5% in respectively of the business.  
  • Goldman Sachs and Moelis & Company are serving as financial advisors to Momentive, while UBS is serving as the financial advisor to the acquirers.
  • The transaction is expected to close in the first half of 2019, subject to regulatory approval.
