Overview:

  • Rock-Tenn Company and MeadWestvaco Corporation merged in a transaction valued at $16 billion. 
  • Blackstone Advisory Partners acted as financial adviser to RockTenn.
  • BofA Merrill Lynch and Goldman Sachs acted as financial adviser to MeadWestvaco.
  • The companies obtained a $4.3 billion credit facility to finance the merger.
  • The credit facility included a $400 million multi-currency revolving credit facility, a $1.6 billion revolving credit facility, a $1.2 billion term loan facility and a $1.1 billlion delayed draw term loan facility.
  • Wells Fargo Securities, BofA Merrill Lynch, Barclays, CoBank, The Bank of Tokyo-Mitsubishi, Citigroup, HSBC Securities, J.P. Morgan, PNC Capital Markets, Rabobank, Sumitomo and SunTrust  acted as joint lead arrangers and bookrunners for the credit facility.
